SPECIFICATION OF GOODS. The Supplier is obliged to supply the Customer with goods of quantity, kind and technical specification as defined in this Contract. The Goods must be new, not used, not damaged, fully functional, top quality provided by the manufacturer of the Goods and in compliance with all licences and rights needed for their proper and problem-less operation and use by the Customer. The Goods must meet all requirements set out by the relevant legal provisions, hygienic, health, safety, technical, as well as any other similar standards for these Goods (hygienic, health, safety, technical, as well as any other similar standards hereinafter the “Standards”). The Goods must pass all attests and approvals necessary for proper and problem-less operation and use. The Goods must not be encumbered by any rights of third parties including chattels mortgages and must be free of any legal or material defects. The Supplier declares that there are no legal provisions, Standards neither any rights of third parties hindering the Customer in proper and problem-less operation and use of the Goods.
SPECIFICATION OF GOODS. TI and Projectavision will mutually agree as to the specification of the goods which will be delivered under any order pursuant to the terms of this Agreement. The specification may be identified in the purchase order and the goods delivered will comply to the specification. TI may, at its sole discretion and without notice to Projectavision, make any change to the goods sold under a resulting purchase order issued pursuant to this Agreement which do not affect the good's form, fit or function. If any changes do affect form, fit, or function, TI agrees to notify Projectavision and TI agrees not to ship any goods which have been affected without Projectavision approval. TI agrees to use reasonable efforts to notify Projectavision prior to TI implementing any changes which do not affect the good's form, fit, or function.

Any change in the specifications will be effective after agreement with the Buyer which shall not be unreasonable withheld. In considering the installation project conducted by the Buyer, No changes are acceptable to dimensions, frame height, connector compatibility and peak power.

The Seller is entitled to ship the type of Goods as mentioned in Clause 4.1, and the Buyer shall accept the Goods stipulated therein.

Modules with Imp below 7.6 will be considered as one interval and packed together, the same rule applies to the goods with Imp above 8.0A. However, it is accepted to have a box with mixed currents if quantity for each current interval is not sufficient to fill one pallet. During the term of the Contract, the Seller may, but is not obligated to, make use of improved technology to produce the Goods so that the quality of the Goods delivered as compared to the specifications mentioned in this Article such as, but not limited to, power, cells type, back sheet, 60-cell modules, junction box, and connectors, may be different but will not be worse. The Buyer has to be informed by a 30-day prior notice for such changes and the Buyer may refuse the modification provided that it is not compatible with the design of his Plant.

For the avoidance of doubt, no description, specification or illustration contained in any product pamphlet or other sales or marketing literature of ours and no representation written or oral, correspondence or statement shall form part of the contract. However, Manufacturers reserve the right to modify specification of product at any time.
