Settlement and Mutual Release of Claims. Upon the Closing Date, the Parties hereby settle and release the following claims, demands, causes of action, administrative and planning and zoning procedures, and threats of litigation listed in this Paragraph (the “Claims”). Exide, on the one hand, and the City, on the other, fully release and discharge one another from all past or present Claims, whether now or later accruing, damages, fines, debts, demands, suits, counterclaims, requests for mandamus or injunctive relief, liabilities, amortization proceedings, penalties, actions or causes of action, whether in law or in equity, whether by constitution or statute or common law, arising out of or related to zoning or annexation of the Exide Property, issuance or failure to issue permits, application of City regulations to the Exide Property, development applications submitted by Exide, the use of the Exide Property by Exide or others, and any City actions related to Exide or the Exide Property, including without limitation, federal or state law Claims pertaining to common law or statutory vested rights, inverse condemnation, regulatory taking, equal protection, due process of law, civil rights violations, non-conforming use status, interpretation or application of City regulations as applied to Exide or the Exide Property, negligence, gross negligence, trespass, nuisance, trespass, conspiracy, products liability, breach of contract and fraud. In addition, the Frisco Parties and Exide fully release each other from any causes of action that may arise after the Closing Date that relate to or concern hazardous or nonhazardous materials currently on the Exide Property, or hazardous or nonhazardous materials that may migrate or otherwise affect the Bowtie Parcel or J Parcel. This release does not include, without limitation, the City’s ability or authority to enforce its ordinances and regulations, claims for breach of this Agreement, Exide’s potential liability to federal and/or state authorities to remediate environmental issues on the Exide Property, or remediation of the Exide Property by Exide and/or the City as provided by this Agreement.

Settlement and Mutual Release of Claims. For and in consideration of this Agreement and the payments identified herein, the Parties each hereby releases and forever discharges each other party from any and all claims, defenses, demands, damages, costs, expenses, attorney’s fees, or causes of action, whether known or unknown, accrued or unaccrued, past, present or future (“Claims”), related to or arising out of the new Woodland High School Project and related services and projects (the “Project”), whether such Claims sound in tort or contract, under common law or statute or under any other legal basis, and regardless of the types of damages that may form the basis for such Claims. Without limitation, and subsumed within the scope of this release, Woodland hereby releases the Design Parties from all Claims that relate to or arise out of the issues raised in Woodland’s February 10, 2014 letter to MA regarding alleged conflicts between the geo- grid and footings at the Project. Woodland agrees to defend, indemnify and hold the Design Parties (and each of the Design Parties’ agents, representatives, owners, attorneys, employees, insurers, bonding companies, predecessors, successors and assigns, if any,) harmless from any claims by Woodland’s general contractor or its subcontractors relating to any payment of additional compensation with regard to Claims that relate to or arise out of the issues raised in Woodland’s February 10, 2014 letter to MA. There are only three exclusions to this release: (1) Claims related to latent defects that are unknown to Woodland as of the date of this Agreement, (2) Woodland’s remaining future payment obligations to MA under its B102 Agreement with MA for the Project, which future payment obligations total $24,694, and (3) currently unknown claims for indemnity or contribution relating to or arising out of personal injury or property damage. But for these three exceptions, the releases are intended to be interpreted as broadly as possible and absolute but for these three exclusions. Woodland represents that it currently is not aware of any other facts or defects that could form the basis of any other Claims against the Design Parties. Each Party represents that it is not aware of any facts that would give rise to a claim for contribution or indemnity against another Party. Each party hereby warrants that it or he has not assigned or transferred to any person any portion of any claim which is released, waived and discharged above. The Executive further warrants that except as he has reported to the Company before the Separation Date, he has not experienced any illness, injury, or disability compensable or recoverable under the worker’s compensation laws of any state. The Executive further represents and warrants that he has been given at least 21 days to review and consider his rights and obligations under this Agreement (although he may voluntarily choose to sign this Agreement earlier) and he may revoke this Agreement within the seven (7) day period following his execution of this Agreement. Each party specifically represents that it or he has had a full and fair opportunity to consult with counsel of its or his own choosing concerning the agreements, representations, and declarations set forth in this Agreement. Each party understands and agrees that by signing this Agreement it or he is giving up its or his right to bring any legal claim against the other party concerning, directly or indirectly, the Executive’s employment relationship with the Company, including the Executive’s separation from employment. Each party agrees that this legal release is intended to be interpreted in the broadest possible manner in favor of the other party, to include all actual or potential legal claims that one party may have against the other, except as specifically provided otherwise in this Agreement. Notwithstanding any other provision of this Agreement, this release shall not waive or in any way limit or otherwise affect the Executive’s rights, if any, to indemnification and/or defense in connection with any claim that may be asserted against the Executive as a consequence of his employment with the Executive, whether such rights arise under the Company’s articles of incorporation, bylaws, insurance contracts or otherwise. Specifically, the Company shall indemnify and hold the Executive harmless, to the fullest extent permitted by applicable law as it presently exists or may hereafter be amended, in the event the Executive was or is made or is threatened to be made a party or is otherwise involved in any action, suit or proceeding, whether civil, criminal, administrative or investigative (a “proceeding”) by reason of the fact that he, or a person for whom he is the legal representative, is or was a director, officer, employee or agent of the Company or is or was serving at the request of the Company as a director, officer, employee or agent of another corporation or of a partnership, joint venture, trust, enterprise or non-profit entity, including service with respect to employee benefit plans, against all liability and loss suffered and expenses reasonably incurred by such person.

  • Separation Agreement and Release of Claims The Executive’s receipt of any severance payments or benefits upon the Executive’s Qualifying Termination under Section 3 is subject to the Executive signing and not revoking the Company’s then-standard separation agreement and release of claims (which may include an agreement not to disparage any member of the Company Group, non-solicit provisions, an agreement to assist in any litigation matters, and other standard terms and conditions) (the “Release” and that requirement, the “Release Requirement”), which must become effective and irrevocable no later than the sixtieth (60th) day following the Executive’s Qualifying Termination (the “Release Deadline”). If the Release does not become effective and irrevocable by the Release Deadline, the Executive will forfeit any right to severance payments or benefits under Section 3.

  • Mutual Releases (a) Effective upon the Settlement Effective Time, the TERP Parties, for themselves and on behalf of their respective trustees, executors, estates, heirs and assigns (the “TERP Releasing Parties”) hereby fully and forever release, discharge and acquit SunEdison and SunEdison’s trustees, executors, estates, heirs and assigns, and each of their respective current and former partners, agents, officers, directors, employees, representatives, attorneys, successors and predecessors, in each case solely in their capacities as such (other than TERP and GLBL) (the “SunEdison Released Parties”) from any and all claims, actions, suits, debts, covenants, contracts, controversies, agreements, promises, judgments, executions, rights, damages, costs, expenses, claims, and any and all demands and causes of action of every kind, nature and character whatsoever, at law or in equity, whether based on contract (including, without limitation, quasi contract or estoppel), statute, regulation, tort (including, without limitation, intentional torts, fraud, misrepresentation, defamation, breaches of fiduciary duty, recklessness, gross negligence, willful misconduct or negligence) or otherwise, accrued or unaccrued, known or unknown, matured, unmatured, liquidated or unliquidated, certain or contingent (collectively, “Claims”), that the TERP Releasing Parties ever had, now have or may hereafter have against the SunEdison Released Parties for, upon or by reason of any matter, cause or thing whatsoever, from the beginning of the world through the Settlement Effective Time, including but not limited to the TERP Claims; provided that the TERP Releasing Parties do not release, discharge or acquit the SunEdison Released Parties from (i) any Claim to enforce, or for damages for breach of, this Agreement, the Jointly Supported Transaction Agreement, the Voting and Support Agreement, any agreement not rejected or terminated pursuant to Section 2(c) and 2(e), or any other contract, instrument, release or other agreement or document created or entered into in connection with this Agreement or the Jointly Supported Transaction, or (ii) the Preserved Comprehensive Unsecured Claim and the Preserved DE Shaw Unsecured Claim or (iii) any Claim against any direct or indirect subsidiary of SunEdison Inc that is not a SunEdison Party and that commences any action or proceeding with respect to a Claim against a TERP Released Party (as defined below) other than a Claim described in the proviso in Section 4(b)(i) below.

Notwithstanding anything herein to the contrary, the sole matters to which the Agreement and General Release do not apply are: (i) Employee’s express rights under any pension (including but not limited to any rights under the Kaman Corporation Supplemental Retirement Plan) or claims for accrued vested benefits under any other employee benefit plan, policy or arrangement maintained by Employer or under COBRA; (ii) Employee’s rights under the provisions of the Change in Control Agreement which are intended to survive termination of employment; or (iii) Employee’s rights as a stockholder.

  • Separation Agreement and General Release The Company’s obligation to make the Severance Payment or the Enhanced Severance Payment is conditioned on Executive’s or Executive’s legal representative’s executing a separation agreement and general release of claims related to or arising from Executive’s employment with the Company or the termination of employment, against the Company and its affiliates (and their respective officers and directors) in a form reasonably determined by the Company, which shall be provided by the Company to Executive within five (5) days following the Date of Termination; provided, that, if Executive should fail to execute (or revokes) such release within sixty (60) days following the Date of Termination, the Company shall not have any obligation to provide the Severance Payment or the Enhanced Severance Payment. If Executive executes the release within such sixty (60) day period and does not revoke the release within seven (7) days following the execution of the release, the Severance Payment or the Enhanced Severance Payment will be made in accordance with Section 4(a)(ii) or Section 4(b)(ii), as applicable.

  • Release of Claims Agreement The receipt of any severance payments or benefits pursuant to this Agreement is subject to Executive signing and not revoking a separation agreement and release of claims in a form mutually acceptable to the Company and Executive (the “Release”), which must become effective no later than the sixtieth (60th) day following Executive’s termination of employment (the “Release Deadline”), and if not, Executive will forfeit any right to severance payments or benefits under this Agreement. To become effective, the Release must be executed by Executive and any revocation periods (as required by statute, regulation, or otherwise) must have expired without Executive having revoked the Release. In addition, in no event will severance payments or benefits be paid or provided until the Release actually becomes effective. If the termination of employment occurs at a time during the calendar year where the Release Deadline could occur in the calendar year following the calendar year in which Executive’s termination of employment occurs, then any severance payments or benefits under this Agreement that would be considered Deferred Payments (as defined in Section 4(c)(i)) will be paid on the first payroll date to occur during the calendar year following the calendar year in which such termination occurs, or such later time as required by (i) the payment schedule applicable to each payment or benefit as set forth in Section 3, (ii) the date the Release becomes effective, or (iii) Section 4(c)(ii); provided that the first payment shall include all amounts that would have been paid to Executive if payment had commenced on the date of Executive’s termination of employment.
