Science Committee. The Parties, through the Implementing Committee, will establish and, in conjunction with the Stakeholder Committee, appoint an Adaptive Management Science Committee (Science Committee). To the extent possible, the Science Committee will be comprised of an odd number of not fewer than seven or more than eleven members, as determined by the Implementing Committee, who have technical expertise in one or more of the following areas: (a) the Xxxxxxx Aquifer or its management; (b) the Comal Springs and River as defined by Subsection 3.4.2 of the HCP; (c) the San Marcos Springs and River as defined by Subsection 3.4.3 of the HCP; or (d) the Covered Species.
Science Committee. The Permittees will create and appoint qualified persons to serve as members of an Xxxxxxx Aquifer Recovery Implementation Program Adaptive Management Science Committee (the Science Committee). The Service and the Permittees recognize that participation on the Science Committee is voluntary and cannot be compelled by the Service or the Permittees. However, to the extent possible, the Science Committee will consist of an odd number of not fewer than 7 or more than 15 members who have technical expertise in one or more of the following areas: (i) the Xxxxxxx Aquifer or its management; (ii) the Comal Springs and River Ecosystem; (iii) the San Marcos Springs and River Ecosytem or (iv) the Covered Species.
Science Committee. (a) The parties shall establish and maintain a Science Committee composed of an equal number of senior executives and scientists of Chiron and CGL. The members of the Science Committee will meet on a periodic basis to exchange information initially on a non-confidential basis regarding fields of research interest, strategic scientific and technical plans, capabilities and opportunities of their respective companies and other information that may lead to new opportunities, or enhance existing opportunities, for the other party or for collaborative projects and ventures. If mutually agreed, the parties may provide confidential information, subject to agreement upon appropriate protection of the confidentiality of such information. If opportunities of mutual interest are identified, the Scientific Committee will propose mechanisms for converting such opportunities into actual projects and ventures; PROVIDED, HOWEVER, that no information need be disclosed (or may be requested by representatives of either party to be disclosed) in meetings of the Science Committee that (i) is subject to then existing third party rights and contractual obligations of the parties (ii) is necessary for the perfection or protection of intellectual property (iii) in the reasonable judgment of the disclosing party represents corporate opportunities; or (iv) is the subject of then existing negotiation with third parties.
Science Committee. The term ‘‘science committee’’ means the committee of independent scientists appointed under section 460nnn–53 of this title.
