Retention of BISYS. The Trust hereby retains BISYS to act as the administrator of the Trust and to furnish the Trust and Funds with the management and administrative services as set forth in Article 2 below. BISYS hereby accepts such appointment to perform the duties set forth below. BISYS shall, for all purposes herein, be deemed to be an independent contractor and, unless otherwise expressly provided or authorized, shall have no authority to act for or represent the Trust in any way and shall not be deemed an agent of the Trust.
Retention of BISYS. The Company hereby retains BISYS to act as transfer agent, fund accountant and administrator of the Company and each of the Funds and to furnish the Company and each of the Funds with the transfer agency, fund accounting and administration services set forth in Section 2(a) through (c) below. BISYS and the Company hereby agree that BISYS will perform the services upon the terms set forth in this Agreement. BISYS shall, for all purposes herein, be deemed to be an independent contractor and, unless otherwise expressly provided or authorized, shall have no authority to act for or represent the Company or the Funds in any way, and shall not be deemed an agent of the Company or the Funds.
Retention of BISYS. The Company hereby retains BISYS to act as Administrator of the Portfolios and to furnish the Portfolios with the management and administrative services as set forth in Article 2 below. BISYS hereby accepts such employment to perform the duties set forth below. BISYS shall, for all purposes herein, be deemed to be an independent contractor and, unless otherwise expressly provided or authorized, shall have no authority to act for or represent the Company in any way and shall not be deemed an agent of the Company.
Retention of BISYS. The Company hereby retains BISYS to act as administrator, fund accountant and transfer agent of the Company and the Funds, and to furnish the Company and the Funds with administrative, fund accounting and transfer agency services as set forth in Sections 2(a) through (c) below. In addition, the Company hereby appoints BISYS Fund Services, Inc. (“BFI”), an affiliate of BISYS, as the non-bank trustee/custodian to the XXX Accounts of the Company (as defined in Section 2(d) below). The Company hereby retains BISYS to provide the non-bank trustee/custodian services as set forth in Section 2(d) below. BISYS will perform the services upon the terms set forth in this Agreement and the Schedules to this Agreement. BISYS shall, for all purposes herein, be deemed to be an independent contractor and, except as otherwise expressly provided or authorized, shall have no authority to act for or represent the Company or Funds in any way, and shall not be deemed an agent of the Company or any Funds.

The Trust hereby retains BISYS to act as administrator, fund accountant and transfer agent of the Trust, and to furnish the Trust with administrative, fund accounting and transfer agency services as set forth in Sections 2(a) through (c) below. BISYS and the Trust hereby agree that BISYS will perform the services upon the terms set forth in this Agreement and the Schedules hereto. BISYS shall, for all purposes herein, be deemed to be an independent contractor and, except as otherwise expressly provided or authorized, shall have no authority to act for or represent the Trust or Funds in any way, and shall not be deemed an agent of the Trust or any Funds.
Retention of BISYS. The Trust hereby retains BISYS to act as the transfer agent for the Funds to perform (i) the transfer agent services set forth in Schedule A hereto, (ii) such special services incidental to the performance of such services as may be agreed to by the parties from time to time (for such fees as the parties may agree as aforesaid) and (iii) such additional services as may be agreed to by the parties from time to time and set forth in an amendment to said Schedule A (for such fees as the parties may agree as aforesaid). BISYS hereby accepts such employment to perform the services described herein. BISYS may, in its discretion, appoint in writing other parties qualified to perform transfer agency services reasonably acceptable to the Trust (individually, a "Sub-transfer Agent") to carry out some or all of its responsibilities under this Agreement with respect to a Fund; provided, however, that the Sub-transfer Agent shall be the agent of BISYS and not the agent of the Trust or such Fund, and that BISYS shall be fully responsible for the acts of such Sub-transfer Agent and shall not be relieved of any of its responsibilities hereunder by the appointment of such Sub-transfer Agent.
Retention of BISYS. BISYS shall perform for the Trust the transfer agent services set forth in Schedule A hereto. BISYS also agrees to perform for the Trust such special services incidental to the performance of the services enumerated herein as agreed to by the parties from time to time. BISYS shall perform such additional services as are provided on an amendment to Schedule A hereof, in consideration of such fees as the parties hereto may agree. BISYS may, in its discretion, appoint in writing other parties qualified to perform transfer agency services reasonably acceptable to the Trust (individually, a "Sub-transfer Agent") to carry out some or all of its responsibilities under this Agreement with respect to a Fund; provided, however, that the Sub-transfer Agent shall be the agent of BISYS and not the agent of the Trust or such Fund, and that BISYS shall be fully responsible for the acts of such Sub-transfer Agent and shall not be relieved of any of its responsibilities hereunder by the appointment of such Sub-transfer Agent.
Retention of BISYS. VCM hereby appoints BISYS as a sub-administrator and sub-fund accountant of VCM. BISYS shall, for all purposes herein, be deemed to be an independent contractor and, except as otherwise expressly provided or authorized, shall have no authority to act for or represent VCM, the Trusts or the Funds in any way, and shall not be deemed an agent of VCM, the Trusts or any Funds.
Retention of BISYS. BISYS shall furnish the Funds with the Services that are more particularly set forth in Schedule A heretoFunds. BISYS agrees to perform the services described herein in accordance with the service standards set forth in Schedule B hereto. BISYS also agrees to perform such special services incidental to the performance of the services enumerated herein as agreed to by the parties from time to time. BISYS shall perform such additional services as are provided on an amendment to this Agreement, in consideration of such fees as the parties hereto may agree. In performing its duties under this Agreement, BISYS will act in conformity with the Company's Declaration of Trust, By-Laws, Prospectuses and Statements of Additional Information as in effect from time to time and will conform to and comply with the requirements of the Investment Company Act of 1940 (the "1940 Act") and all other applicable federal and state laws and regulations. BISYS shall, for all purposes herein, be deemed to be an independent contractor and, unless otherwise expressly provided or authorized, shall have no authority to act for or represent Fifth Third or the Company in any way and shall not be deemed an agent of Fifth Third or the Company.
Retention of BISYS. The Company hereby appoints BISYS, subject to the supervision, direction and control of the Company's Board of Trustees, to furnish the Portfolios with the Services that are more particularly set forth in Article 2 herein. BISYS hereby accepts such appointment and agrees to perform said Services for the compensation provided for in Article 4 and Schedule A hereto. BISYS shall, for all purposes herein, be deemed to be an independent contractor and, unless otherwise expressly provided or authorized, shall have no authority to act for or represent the Company in any way and shall not be deemed an agent of the Company.
