RELATIONSHIP WITH SUPPLIERS AND CUSTOMERS. To the knowledge of Seaboard, the relationship of the Seaboard Entities with the material (individually or in the aggregate) suppliers, customers and growers of the Business is satisfactory and the Seaboard Entities have not received notice of any intention to terminate or materially modify any of such relationships. To the knowledge of Seaboard, the transactions contemplated herein will not materially and adversely affect the ongoing relationship of the Business with any material (individually or in the aggregate) customer, supplier or grower.
RELATIONSHIP WITH SUPPLIERS AND CUSTOMERS. To the knowledge of the Company, the relationship of the Company with its material suppliers and customers is satisfactory and the Company has not received notice of any intention to terminate or modify any such relationships.
RELATIONSHIP WITH SUPPLIERS AND CUSTOMERS. Schedule 3.01(t) of the Disclosure Schedule lists the ten (10) largest (in terms of dollar volume) customers and suppliers of CIVCO (each a "SIGNIFICANT CUSTOMER" or "SIGNIFICANT SUPPLIER", as the case may be) during each of the two (2) immediately preceding fiscal years of CIVCO and describes for the period beginning December 31, 2000 through the date of this Agreement all pricing concessions or pricing changes requested by any Significant Customers and all pricing concessions or pricing changes made by CIVCO for any of their Significant Customers. CIVCO currently has good relationships with each of its Significant Suppliers and Significant Customers. Except as set forth in Schedule 3.01(t) of the Disclosure Schedule, CIVCO is not currently in dispute under any contract or agreement for the delivery of goods or services with any Significant Supplier or Significant Customer, and, since December 31, 2002, no Significant Supplier to or Significant Customer has notified the Company or CIVCO that it will stop doing business, or reduce its business, with the Company or CIVCO, the cessation or reduction of which business would have a Material Adverse Effect. To the knowledge of the Company, there are no facts or circumstances related to any Significant Customer's business (other than general economic events affecting the medical device manufacturing industry generally that do not affect CIVCO disproportionately relative to other similarly situated participants in the medical equipment manufacturing industry) that would cause a material reduction or cessation of any such Significant Customer's business with CIVCO.
RELATIONSHIP WITH SUPPLIERS AND CUSTOMERS. Except as disclosed in Section 5.11 of the Disclosure Schedule, within the twelve (12) months prior to the date of this Agreement, no customer of the Business has canceled or, to Seller's knowledge, threatened, any cancellation of its purchase of the Products (or has materially diminished any of its orders thereunder) and no supplier to the Business has canceled or, to Seller's knowledge, threatened any cancellation of any raw material, excipients or components necessary for the manufacture of the Products (or has materially diminished the level of its supply).

Except as set forth on Schedule 3.30, neither the Company nor, as it primarily relates to the Business, any Local Seller is currently in material dispute with any current supplier or any customer of the Business, and, except as set forth on Schedule 3.30, since December 31, 2001, no supplier to or customer of the Business has notified the Company or any Local Seller that it will stop doing business, or materially reduce its business, with the Company or such Local Seller because of a fault of the Business, the cessation or reduction of which business is reasonably likely to have, individually or in the aggregate, a Material Adverse Effect.

RELATIONSHIP WITH SUPPLIERS AND CUSTOMERS. King-Nevada and King have maintained and continue to maintain, with respect to the ANDA Business, good working relationships with all of their customers and suppliers and, except as set forth and explained on Schedule 5.12 hereof, within the eleven (11) months prior to the Closing Date, no customer of the ANDA Business has canceled or threatened any cancellation of any of the ANDA Agreements (or has materially diminished any of its orders thereunder) and no supplier to the ANDA Business has canceled or threatened any cancellation of any supplied materials (or has materially diminished the level of its supply).

Schedule 4.15 lists the 10 largest (in terms of dollar volume) customers and suppliers of the Company (on a consolidated basis with the Subsidiaries) during each of the three immediately preceding fiscal years of the Company.
