Material Dispute definition

Material Dispute means the failure of the Category A Directors and the Category B Directors to agree with respect to any of the following items at two (2) consecutive meetings of the Board of Directors:
Material Dispute means (a) any dispute, litigation or arbitration that will or would reasonably be expected to affect the Project, and (b) the settlement, compromise or dismissal of any dispute, litigation or arbitration affecting the Project, but only if such settlement, compromise, or dismissal would reasonably be expected to (i) result in a Material Budget Overrun or (ii) involve an amount greater than $1,000,000 individually or in the aggregate at any one time.
Material Dispute means any dispute that could reasonably be expected to cause a material adverse change in the financial condition or results of operations of the Company.

Material Dispute means any dispute where the amount in dispute is or was at least half of the Net Worth of any member(s) of the Applicant.
