SUU advises that it cannot control, except by announcement prohibiting such, the use by third parties of cell phones or other personal electronic devices to make audio or video recordings of performance(s). Purchaser will not confiscate third party personal electronic devices.

RECORDING OF PERFORMANCE. SLCC may record the performance for archival and/or educational purposes unless otherwise agreed. SLCC advises that it cannot control the use by third parties of cell phones or other personal electronic devices to make audio or video recordings of performance(s) except by announcing the prohibition of such recording. Contractor will not confiscate third party personal electronic devices.
RECORDING OF PERFORMANCE. SPEAKER hereby grants to TRINITY a non-exclusive license to use of any recorded performance, but only to the extent that the recording is used only internally and only for the purpose of a TRINITY student or employee that is unable to attend the original video conference. No other audio or visual recording of the Speaking Services shall be made by either party hereto without the prior mutual written consent of the parties hereto. Both parties mutually agree to an audio and/or visual recording of the Speaking Services. SPEAKER will use the recording to perform the Speaking Services and will not in any way divulge, copy, release, sell, loan, review, alter or distribute recording. Both parties mutually agree to NOT record.

RECORDING OF PERFORMANCE. Contagion Media shall have the rights to record (audio or video) or photograph the Performer for the duration of the performance only. Any content created with the Performer’s image or performance shall be delivered to Performer prior to publishing. The content is permitted to be published by the Performer or Contagion Media only.
RECORDING OF PERFORMANCE. The Purchaser shall use reasonable efforts to prevent the photographing, recording, broadcasting, transmission, or reproduction of the Performance or any portion thereof without the prior written consent of the Performer.

  • Monitoring of Performance Vendor shall continuously monitor and record its performance to ensure that all of Vendor's responsibilities and obligations hereunder are being met and fulfilled. Citizens may conduct programmatic and other administrative contract monitoring during the term of this Agreement. The purpose of this monitoring is to ensure that all of Vendor's responsibilities and obligations are being met and fulfilled. Such monitoring may include on-site visits, report reviews, invoice reviews, compliance reviews, and a review of any other areas reasonably necessary. Vendor acknowledges and agrees that Citizens may also monitor and record Vendor Staff communications to the extent they occur within or are connected to any Citizens’ resource, such as electronic or telecommunications systems.

  • Manner of Performance Subject to the provisions of Article XII hereof, the Contractor shall perform all of the Work described in the Statement of Work, or cause such Work to be performed in an efficient and expeditious manner and in accordance with all of the terms and provisions of this Agreement. The Contractor shall perform the Work in accordance with the current professional standards and with the diligence and skill expected for the performance of work of the type described in the Statement of Work. The Contractor shall furnish such personnel and shall procure such materials, machinery, supplies, tools, equipment and other items as may reasonably be necessary or appropriate to perform the Work in accordance with this Agreement.

  • Resumption of Performance During the period that a Force Majeure Event is subsisting, the Affected Party shall, in consultation with the other Parties, make all reasonable efforts to limit or mitigate the effects of such Force Majeure Event on the performance of its obligations under the PPA. The Affected Party shall also make efforts to resume performance of its obligations under this Agreement as soon as possible and upon resumption, shall notify other Parties of the same in writing. The other Parties shall afford all reasonable assistance to the Affected Party in this regard.

  • Time of Performance Time for performance of the Scope of Services under this Agreement shall begin with receipt of the Notice to Proceed and end no later than December 31, 2026. Consultant shall complete the tasks described in the Scope of Services, within this time or within such additional time as may be extended by the County.

In the event of such delay, the time for performance or delivery shall be extended by a period of time reasonably necessary to overcome the effect of the delay.

  • ASSURANCE OF PERFORMANCE If at any time the COUNTY has good objective cause to believe CONTRACTOR may not be adequately performing its obligations under this Agreement or that CONTRACTOR may fail to complete the Services as required by this Agreement, COUNTY may request from CONTRACTOR prompt written assurances of performance and a written plan acceptable to COUNTY, to correct the observed deficiencies in CONTRACTOR’s performance. CONTRACTOR shall provide such written assurances and written plan within thirty (30) calendar days of its receipt of COUNTY’s request and shall thereafter diligently commence and fully perform such written plan. CONTRACTOR acknowledges and agrees that any failure to provide such written assurances and written plan within the required time is a material breach under this Agreement.

  • Suspension of Performance Notwithstanding any other provision hereof, if an Event of Default or a Potential Event of Default has occurred and is continuing, the Non-Defaulting Party, upon written notice to the Defaulting Party, has the right (i) to suspend performance under any or all Transactions and (ii) to the extent an Event of Default has occurred and is continuing, to exercise any remedy available at law or in equity, except as limited be Section 5.7.

  • Assessment of Performance The assignment of a teacher to a TLS position will be subject to review by the school district’s administration at least annually. The first review must be completed no later than five (5) work days before the beginning of the transfer process. The review shall include peer feedback on the effectiveness of the teacher’s performance of duty specific to the teacher’s TLS position. A teacher who completes an assignment in a TLS position may apply for assignment to a new TLS position.
