PLANNING ACT COMPLIANCE. It is understood that this Agreement is subject to compliance in all respects with the subdivision control provisions of the Planning Act (Ontario), which compliance shall be obtained by the Vendor at its sole expense before Closing, failing which (in the absence of any extension of the Closing established or implemented by the Vendor pursuant to and in accordance with the provisions of the Tarion Addendum) this Agreement shall automatically be terminated and have no further force and effect, and the Vendor and the Purchaser shall have no further liabilities or obligations hereunder, and neither of the parties hereto shall thereafter be liable to the other for any costs and/or damages that may be suffered or incurred by them in connection with this Agreement or the termination thereof, save and except for any compensation that may be payable by the Vendor to the Purchaser in connection therewith pursuant to the provisions of the Tarion Addendum.

PLANNING ACT COMPLIANCE. This Agreement is to be effective only if the provisions of Section 50 of the Planning Act (Ontario) are complied with.

If the consent has not been obtained within 180 days from the Commencement Date, the parties agree to treat this demise as a Lease for not more than 21 years less one day (the “Shortened Term”) on the same terms and conditions, save and except as to the Term (including any extensions) of the demise. The Tenant shall have the right at any time during the Shortened Term to apply at its own expense for a consent to extend the Term (including any extensions) to the original length provided for in this Lease.
PLANNING ACT COMPLIANCE. All of the mutual covenants, conditions, agreements and payments contained in this Agreement shall be conditional upon compliance with the Planning Act (Ontario). The Vendor covenants with the Purchaser that the Vendor shall obtain prior to the Real Estate Closing all necessary consents under the Planning Act (Ontario) for the conveyance of the Property or any part thereof to the Purchaser and shall comply with any conditions imposed with respect to any such consents, all at the Vendor's expense.

PLANNING ACT COMPLIANCE. The creation of any interest in lands pursuant to this Agreement is expressly subject to the condition of compliance with the provisions of the Planning Act.

Section 50 of the Planning Act (Ontario) may be applicable to your use of or right in the Unit, the Common Areas, the Facilities and/or the Parking Spaces. If it is, we must apply for consent required by law and the costs thereof will be added to your Occupancy Charges. If such consent is required, until such consent is obtained, your rights under this Agreement shall be deemed to extend only for a period of 21 years less one day from the date on which the Term commenced. Notwithstanding, any other provision herein, this Agreement and your rights hereunder shall terminate on or before that date which is 50 years less one day immediately following the date of this Agreement.
