PERSONNEL, EQUIPMENT AND SUPPLIES. Physician shall supply all necessary office personnel, equipment, Instrumentalities and supplies required to perform Physician's Covered Services and which are usual and customary for a medical practice in Physician's specialty in the community. Physician may, at Physician's own expense, employ each non-physician personnel as Physician deems necessary to assist in the performance of the services required by this Agreement. Physician shall be solely responsible for the control, direction, and supervision of Physician's assistants or employees in the performance of those services. Physician shall be totally responsible for payment of all wages, Tax withholding, Social security taxes, workers’ compensation insurance, unemployment insurance and other employment benefits for Physician’s assistants and employees. Non-Physician ancillary personnel, (Nurse Practitioners, Physicians' Assistants, Midwives, etc), who provide services for Los Alamos PHO patients must be credentialed by Los Alamos Medical Center or by the Los Alamos PHO, and must be registered with the Los Alamos PHO.
PERSONNEL, EQUIPMENT AND SUPPLIES. Medical Group shall, at Medical Group's sole cost and expense, furnish all personnel, equipment and supplies as Medical Group deems necessary to perform Covered Services. IPA shall not control, direct, or supervise Medical Group's personnel nor shall IPA be responsible for such personnel. Any property furnished to Medical Group by IPA (other than payments by IPA to Medical Group) shall remain the property of IPA, and Medical Group shall not acquire any rights therein by reason of his or her performance under this Agreement.

Any employees designated as key management and supervisory staff are anticipated to fulfill the entire term of the Agreement. [Name or Contractor] may not make any changes to such key management and supervisory staff without the Authority’s prior approval, and any replacement staff must possess similar or better qualifications than their predecessors. At the request of the Authority, [Name or Contractor] shall promptly remove from assignment to Authority projects any of its employees performing services pursuant to this Agreement, and shall promptly replace them with staff possessing similar or better qualifications. Any associated costs shall be borne by [Name or Contractor]. The Authority recognizes that removal of an employee from Authority projects will not necessarily result in the termination or demotion of such employee.

  • Plant and Equipment The plants, structures and ------------------- equipment of the Company are structurally sound with no known defects and are in good operating condition and repair and are adequate for the uses to which they are being put. None of such plants, structures or equipment are in need of maintenance or repairs except for ordinary, routine maintenance and repairs which are not material in nature or cost. The Company has not received notification that it is in violation of any applicable building, zoning, anti- pollution, health or other law, ordinance or regulation in respect of its plants or structures or their operations.

  • Additional Equipment Additional Equipment may from time to time be added as the subject matter of this Agreement as agreed on by the parties. Any additional property will be added in an amendment describing the property, the monthly rental, security deposit, and stipulated loss value of the additional Equipment. All amendments must be in writing and signed by both parties. Other than by this amendment procedure, this Agreement may not be amended, modified, or altered in any manner except in writing signed by both parties.

  • Equipment and Inventory With respect to any Equipment and/or Inventory of an Obligor, each such Obligor has exclusive possession and control of such Equipment and Inventory of such Obligor except for (i) Equipment leased by such Obligor as a lessee or (ii) Equipment or Inventory in transit with common carriers. No Inventory of an Obligor is held by a Person other than an Obligor pursuant to consignment, sale or return, sale on approval or similar arrangement.

  • Supplies and Equipment The Union and employees will not use state-purchased supplies or equipment to conduct union business or representational activities. This does not preclude the use of the telephone for representational activities if there is no cost to the Employer, the call is brief in duration and it does not disrupt or distract from the Employer’s business.

  • Equipment, Etc Each Grantor shall, (i) within ten (10) days after a written request by the Administrative Agent, in the case of Equipment now owned, and (ii) following a request by the Administrative Agent pursuant to subclause (i) above, within ten (10) days after acquiring any other Equipment, deliver to the Administrative Agent, any and all certificates of title, and applications therefor, if any, of such Equipment and shall cause the Administrative Agent to be named as lienholder on any such certificate of title and applications. No Grantor shall permit any such items to become a fixture to real estate or an accession to other personal property unless such real estate or personal property is the subject of a fixture filing (as defined in the UCC) creating a first priority perfected Lien in favor of the Administrative Agent.

  • Raw Materials Lonza shall procure all required Raw Materials as well as consumables other than those Raw Materials that are Customer Materials. Customer shall be responsible for payment for all consumables and Raw Materials ordered or irrevocably committed to be procured by Lonza hereunder. Upon cancellation of any Batch or termination of the Agreement, all unused Raw Materials shall be paid for by Customer within [***] days of invoice and at Customer’s option will either be (a) held by Lonza for future use for the production of Product, (b) delivered to Customer, or (c) disposed of by Lonza.
