Performance by Xxxxxxx. If Borrower shall fail to perform any covenant or agreement contained in any of the Loan Documents, then Lenders may perform or attempt to perform such covenant or agreement on behalf of Borrower. In such event, Borrower shall, at the request of Administrative Agent, promptly pay to Administrative Agent any amount expended by a Lender in connection with such performance or attempted performance, together with interest thereon at the Default Interest Rate from and including the date of such expenditure to but excluding the date such expenditure is paid in full. Notwithstanding the foregoing, it is expressly agreed that no Lender shall have any liability or responsibility for the performance of any covenant, agreement, or other obligation of Borrower under this Agreement or any other Loan Document.
Performance by Xxxxxxx. Xxxxxxx shall have performed and complied with all of the covenants, obligations and agreements under this Agreement to be performed by or complied with by Xxxxxxx prior to the Effective Date, to the satisfaction of EFI, acting reasonably.
Performance by Xxxxxxx. Grantee shall use Grant in accordance with the terms of this Agreement and Texas Administrative Code Title 4, Part 1, Sections 1.950 et seq.
Performance by Xxxxxxx. Grantee shall use the Grant in accordance with the terms of this Agreement and 4 TAC Chapter 1, Subchapter O.
Performance by Xxxxxxx. Xxxxxxx will perform all acts to be performed by them hereunder and will refrain from taking or omitting to take any action that would violate Xxxxxxx representations and warranties hereunder or render the same inaccurate as of any date referenced in Section 14.3 or that in any material way would prevent the consummation of the transactions contemplated hereby in accordance with the terms and conditions hereof.
Performance by Xxxxxxx. Xxxxxxx shall have executed and delivered all documents and performed and complied in all material respects with all agreements and conditions required by this Agreement to be performed or complied with by it prior to or on the Closing Date.
Performance by Xxxxxxx. At the Closing, Xxxxxxx shall deliver to LECG the following: (i) the certificate described in Section 7.3 (a) and (b); (ii) certificates of incumbency of the officers of Xxxxxxx who are executing this Agreement and the other documents contemplated hereunder; A-29
Performance by Xxxxxxx. Section 4.08 of the 1998 Agreement, "Xxxxxxx European Infrastructure" shall be amended by providing that Xxxxxxx shall expand the Xxxxxxx European Infrastructure to include the following Employees: •
Performance by Xxxxxxx. The Sellers shall have performed and ---------------------- complied with all of their covenants, agreements and obligations hereunder in all material respects through the Closing, and the issue disclosed in item I on (S) 3.11 of the Disclosure Schedule shall have been cured to the Parent's reasonable satisfaction;
Performance by Xxxxxxx. Each document and the consideration required to be delivered pursuant to Section 1.4(b) shall have been delivered by XxXxxxx to Xxxxxx.
