PERFORMANCE BY INVESTOR. Investor shall have performed, satisfied and complied in all respects with all covenants, agreements and conditions required by this Agreement to be performed, satisfied or complied with by the Investor at or prior to such Closing.
PERFORMANCE BY INVESTOR. Investor shall use its best efforts to cause its representations and warranties made pursuant to this Agreement to be true and correct in all material respects on the date of each Closing and to have complied with all of its covenants in this Agreement in all material respects as of the date of each Closing.

(i) Investor shall have performed and satisfied in all material respects its obligations and covenants hereunder to the extent such obligations and covenants are required to be performed and satisfied by it at or prior to the Initial Closing and (ii) the representations and warranties of Investor contained in Section 3.02 shall be true and correct in all material respects at the Initial Closing.
