NONDISCLOSURE OF INFORMATION CONCERNING BUSINESS. Employee will not at any time, in any fashion, form, or manner, either directly or indirectly divulge, disclose, or communicate to any person, firm, or corporation in any manner whatsoever any information of any kind, nature, or description concerning any matters affecting or relating to the business of employer, including, without limitation, the names of any its customers, the prices it obtains or has obtained, or at which it sells or has sold its products, or any other information concerning the business of employer, its manner of operation, or its plans, processes, or other date of any kind, nature, or description without regard to whether any or all of the foregoing matters would be deemed confidential, material, or important. The parties hereby stipulate that, as between them, the foregoing matters are important, material, and confidential, and gravely affect the effective and successful conduct of the business of employer, and its good will, and that any breach of the terms of this section is a material breach of this agreement.

Except as may be required in the performance of his duties under this Agreement, Employee will not at any time, in any fashion, form, or manner, either directly or indirectly divulge, disclose, or communicate to any person (exclusive of Yuma employees), firm, or corporation in any manner whatsoever any information of any kind, nature, or description concerning any matters affecting or relating to the business of Yuma, including, without limitation, information concerning any of its Prospects, acquisitions, or joint ventures, the name of any customers, the prices it obtains or has obtained, or at which it sells or has sold its products, or any other information concerning the business of Yuma, its manner of operation, or its plans, processes, or other data of any kind, nature, or description without regard to whether any or all of the foregoing matters would be deemed confidential, material, or important. The parties hereby stipulate that, as between them, the foregoing matters are important, material, and confidential, and gravely affect the effective and successful conduct of the business of Yuma, and its good will, and that any breach of the terms of this section is a material breach of this Agreement.

The parties hereby stipulate that, as between them, the foregoing matters are important, material, and confidential, and gravely affect the effective and successful conduct of the business of Nyxio Technologies, and its good will, and that any breach of the terms of this section is a material breach of this agreement.
NONDISCLOSURE OF INFORMATION CONCERNING BUSINESS. During his employment, the Employee shall not disclose or make use of, during or after the term of his employment, any trade secret or confidential information he receives as a consequence of his employment, and not generally known, about the Employer's products, processes, services, research, development, marketing and merchandising, but not limited thereto. After the term of his employment, these restrictions shall not apply to such trade secrets or confidential information which are then in the public domain, provided that the Employee was not responsible for such disclosure entering the public domain without the Employer's consent. Employee agrees to sign Employer's Invention and Disclosure Agreement, a copy of which will be attached hereto.

Employee further specifically agrees that he will not at any time, in any manner, either directly or indirectly, divulge or communicate to any person, firm, or corporation any information concerning any matters affecting or relating to the business of Employer, including, without limiting the generality of the foregoing, the names of any of its customers, the prices it obtains or has obtained or at which it sells or has sold its products and services, or any other information of, about, or concerning the business of Employer, its manner of operation, its plans, processes, or other data of any kind without regard to whether any or all of the foregoing matters would be deemed confidential, materials, or important. The parties stipulate that as between them, the matters that are important, materials, and confidential are those which affect the effective and successful conduct of the business of the Employer, and its goodwill, and that any breach of the terms of this paragraph is a material breach of this agreement.
NONDISCLOSURE OF INFORMATION CONCERNING BUSINESS. Director specifically agrees that he will not at any time, in any fashion, form, or manner, either directly or indirectly, divulge, disclose, or communicate to any person, firm, or corporation in any manner whatsoever any information of any kind, nature, or description concerning any matters affecting or relating to the business of SGI, including, without limiting the generality of the foregoing, the names of any of its customers, shareholders, business partners, or the particulars relating to any of its technologies, or any other information of, about, or concerning the business of SGI, its manner of operation, its plans, processes or other data of any kind, nature, or description without regard to whether any or all of the foregoing matters would be deemed to be confidential, material, or important.
NONDISCLOSURE OF INFORMATION CONCERNING BUSINESS. Employee will not at any time, in any fashion, form or manner directly or indirectly divulge, disclose or communicate to any person, firm or corporation in any manner whatsoever any information of any kind, nature or description concerning any matters affecting or relating to the business of Employer, including without limitation, the names of any of it's customers, the price at which it places it's advertising, or any other information concerning the business of Employer, its manner of operation or its plans, processes or other data of any kind, nature or description without regard to whether any or all of the foregoing matters would be deemed confidential, material or important, except within those perimeters dealing with usual operating procedures in the promotion of business services. The parties hereby stipulate that, as between them, the foregoing matters are important, material and confidential and gravely affect the effective and successful conduct of the business of Employer and it's goodwill, and that any breach of the terms of this section is a material breach of this agreement.
NONDISCLOSURE OF INFORMATION CONCERNING BUSINESS. Contractor will not at any time, in any fashion, form, or manner, either directly or indirectly divulge, disclose, or communicate to any person, firm, or corporation in any manner whatsoever any information of any kind, nature, or description concerning any matters affecting or relating to the business of Company, including, without limitation, the names of any its customers, the prices it obtains or has obtained, or at which it sells or has sold its products, or any other information concerning the business of Company, its manner of operation, or its plans, processes, or other date of any kind, nature, or description without regard to whether any or all of the foregoing matters would be deemed confidential, material, or important. The parties hereby stipulate that, as between them, the foregoing matters are important, material, and confidential, and gravely affect the effective and successful conduct of the business of Company, and its good will, and that any breach of the terms of this section is a material breach of this agreement. Company agrees to indemnify and hold harmless the Contractor in the event the Company has any law suits or any legal issue that may arise. Contractor and Company will agree upon which lawyer or law firm will represent the Contractor should a legal matter arise.
NONDISCLOSURE OF INFORMATION CONCERNING BUSINESS costs, lists or other written records used in Employer's business, compensation paid to employees and other terms of employment, or any other confidential information of, about, or concerning the business of Employer, its manner of operation, or other confidential data of any kind, nature, or description. The parties hereby stipulate that as between them, the foregoing matters are important, material, confidential, and proprietary and affect the successful conduct of Employer's business and its goodwill, and that any breach of any term of this paragraph is a material breach of this Agreement.

The “IRC” will not, at any time, in any fashion form or manner, either directly or indirectly, divulge, disclose or communicate to any person, firm or corporation, in any manner whatsoever, any information of any kind, nature or description, the name of any of the customer, the prices it obtains or has obtained, its manner of operation, its plans, processes or other data of any kind, nature or description without regard to whether any or all the foregoing matters would be deemed confidential, material or important. The parties hereto stipulate that, as between them, the foregoing matters are important, material and confidential and gravely affect the effective and successful conduct of the business of (Collections) and its goodwill and that any breach of the terms of this section is a material breach of this agreement.
