The Employer shall be responsible for all automobile expenses, repairs and maintenance thereof; provided, however, the Executive shall be responsible for gas and oil expenses for travel not related to the Business of the Employer.
For purposes of this Agreement, the "Business" of the Employer, or its Affiliates, includes all those businesses, products, and services that are presently or hereafter marketed by the Employer, or its Affiliates, or that are in the development stage at any time during the Employment Period; and any other business in which the Employer, or any of its Affiliates, are engaged in at any time during the Employment Period.
Notwithstanding the foregoing, the Employer agrees that the Executive may own up to 5% of the voting shares of any financial institution engaged in the Business of the Employer in the Area.
The Executive acknowledges and agrees that the Business of the Employer is conducted in the Area.
All records, designs, patents, business plans, financial statements, manuals, memoranda, customer lists, customer databases, rolodexes and other property delivered to or compiled by Executive for or on behalf of the Employer or its representatives, vendors or customers that pertain to the Business of the Employer (including the respective subsidiaries thereof) shall be and remain the property of the Employer, and be subject at all times to its discretion and control.
