NON-COMPETITION IN COMPETING BUSINESS. As used herein, the term, "RESTRICTIVE PERIOD" means the period commencing on the date of this Agreement and ending two (2) years following the later of (i) the expiration of the Term or (ii) the termination of the employment of the Employee with the Employer, irrespective of the reason for such termination; PROVIDED, HOWEVER, that the restrictions set forth in this SECTION 3(b) shall not apply in the event of the expiration of the Term unless at least 90 days prior to the end of the Term, the Employer offers to the Employee a two-year extension of this Agreement on substantially the same terms and conditions (including the grant of an additional stock option with respect to HEICO Common Stock) as are contained in this Agreement; PROVIDED FURTHER, HOWEVER, that if the Employer terminates the employment of the Employee without Cause as provided in SECTION 2(f) and the Employer and does not elect to continue the Employee's base salary following the expiration of the Term as provided in such section, the restrictions set forth in this SECTION 3(b) shall not apply following such expiration. During the Restrictive Period, the Employee agrees not to utilize his special knowledge of the business of the Employer and his relationship with customers, suppliers and others to compete with the Employer in any business which is the same as or substantially similar to the business (the "PROHIBITED BUSINESS") conducted by the Employer at any time during the Employer's employment of the Employee. During the Restrictive Period, the Employee shall not, directly or indirectly, assist in the creation or development of, engage or have an interest, anywhere in the United States of America or any other geographic area where the Employer does business or in which its Products are marketed, alone or in association with others, as principal, officer, agent, employee, director, partner or stockholder (except as an employee or consultant of the Employer or any of the Related Entities), or through the investment of capital, lending of money or property, rendering of services or advice or otherwise, in any business competitive with or substantially similar to the Prohibited Business.   • Noncompetition Period For the purpose of Section 9 of this Section, “Noncompetition Period” shall mean the period of employment hereunder and the period commencing on the date of termination of employment and ending 12 months thereafter. If employee is found to have violated the covenants contained herein during the Noncompetition Period such Noncompetition Period shall be extended for a period equal to the amount of time the Employee is found to have been in non-compliance.

  • Confidential Information Non Competition (a) The Executive shall hold in a fiduciary capacity for the benefit of the Company all secret or confidential information, knowledge or data relating to the Company or any of its Affiliated Companies, and their respective businesses, which shall have been obtained by the Executive during the Executive's employment by the Company or any of its Affiliated Companies and which shall not be or become public knowledge (other than by acts by the Executive or representatives of the Executive in violation of this Agreement). After termination of the Executive's employment with the Company, the Executive shall not, without the prior written consent of the Company or as may otherwise be required by law or legal process, communicate or divulge any such information, knowledge or data to anyone other than the Company and those designated by it. In no event shall an asserted violation of the provisions of this Section 9 constitute a basis for deferring or withholding any amounts otherwise payable to the Executive under this Agreement.
