No Waiver of Certain Rights. 20.1 Nothing contained in this Agreement shall be construed as a waiver by any party hereto of the right to assert any legal or constitutional right or defense pertaining to the validity or invalidity of any law of the State wherein lands subject to this Agreement are located, or of the United States, or regulations issued thereunder, in any way affecting such party, or as a waiver by any such party of any right beyond his or its authority to waive.

Nothing contained in this Article 12 shall be deemed a waiver of any right which Lender may have under the Bankruptcy Code or applicable law to protect and pursue its rights under the Loan Documents including, without limitation, its rights under Sections 506(a) or any other provision of the Bankruptcy Code to file a claim for the full amount of the Loan or to require that the collateral continues to secure all of the indebtedness owing to Lender under Loan Documents.

Notwithstanding anything to the contrary contained in this Agreement or the other Loan Documents, (A) neither of Administrative Agent nor the Lenders shall be deemed to have waived any right which Administrative Agent or any Lender may have under Sections 506(a), 506(b), 1111(b) or any other provision of the Federal Bankruptcy Code, as such sections may be amended, to file a claim for the full amount due to Administrative Agent or such Lender under the Loan Documents or to require that all collateral shall continue to secure the amounts due under the Loan Documents and (B) Administrative Agent may pursue any power of sale, bring any foreclosure action, any action for specific performance, or any other appropriate action or proceedings against Borrower or any other Person for the purpose of enabling the Administrative Agent and the Lenders to realize upon the collateral for the Loans (including, without limitation, any Net Operating Income to the extent provided for in the Loan Documents) or to obtain the appointment of a receiver.
No Waiver of Certain Rights. Subject to the provisions of this lease, the Tenant does not contract out of or waive or relinquish any of the provisions of the Commercial Tenancies Act (Ontario) as it may be amended from time to time or any existing or future statute relating to the relationship between landlords and tenants.

By signing this Release, the Executive does not release or waive any judicially or statutorily mandated right to participate by testifying truthfully in state or federal administrative proceeding before the Equal Employment Opportunity Commission or similar state agency, acknowledging that the Executive has no right to recover any monetary benefits or compensation in connection with such proceedings or any other claim that is non-waivable by law. Similarly, notwithstanding any provision to the contrary in this Release, by signing this Release the Executive does not waive (i) his right to the Severance Benefits and any rights arising under this Release; (ii) any vested rights under any pension, retirement, profit sharing or similar plan; (iii) the Executive’s rights, if any, to indemnification or defense under any statute, the Company’s, its parents’ or its subsidiaries’ organizational documents, including such entity’s operating agreement or any policy or procedure of the Company or any of its parents or subsidiaries, or under any insurance contract; (iv) any rights the Executive has as a member of the Company; or (v) any other right that cannot be waived by private agreement.

The Parties agree that nothing contained herein shall purport to waive or otherwise affect any of Employee’s rights or claims that may arise after Employee signs this Agreement. It is further understood by the Parties that nothing in this Agreement shall affect any rights Employee may have under any employee benefit plan sponsored by the Company as of the date of his/her termination, such items to be governed exclusively by the terms of the applicable plan documents.
