LIMITATION TO THE TERRITORY. Strata hereby covenants that it will not directly or indirectly, without the prior written authorization of Micrologix: (i) promote or actively solicit the sale of the Product or advertise the Product, outside of the Territory; (ii) purchase or cause to be purchased Product which Strata has represented, directly or indirectly, as being for the purpose of sale in a specific country in the Territory for sale in any other country outside the Territory; (iii) contact any of Micrologix's suppliers or vendors of the Product or element thereof for the purpose of causing the Product to be sold outside the Territory; (iv) knowingly sell or distribute for resale the Product purchased hereunder to a Third Party who intends to sell the Product outside of the Territory; and (vi) knowingly sell or distribute for resale Product purchased from a Third Party outside the Territory for resale in the Territory.
LIMITATION TO THE TERRITORY. (a) CollaGenex hereby covenants that it will not, without the prior written authorization of Atrix: (i) promote or actively solicit sale of the Products or advertise the Products, outside of the Territory; (ii) contact any of Atrix's suppliers or vendors of the Products or components relating to the Products (except as required by law); (iii) contact the Governmental Authorities or other entity about the Products, except as required by Applicable Laws or as may be necessary or appropriate to carry out its obligations hereunder; (iv) knowingly sell or distribute for resale the Products purchased hereunder to a Third Party who intends to sell outside of the Territory; and (v) prior to October 31, 2001, market, promote, advertise, distribute, commercialize or sell the Products to the customers set forth on the Block customer list provided to CollaGenex by Atrix.
LIMITATION TO THE TERRITORY. Sanofi-Synthelabo covenants and agrees that it will not, nor shall it permit its Affiliates, without the prior written authorization of Atrix to: (i) promote or actively solicit sale of the Product or advertise the Product, outside of the Territory; (ii) purchase or cause to be purchased Product which Sanofi-Synthelabo has represented, directly or indirectly, as being for the purpose of sale in a specific country in the Territory for sale in any other country in the Territory; (iii) contact any of Atrix's suppliers or vendors of the Product or components relating to the Product; (iv) contact the Competent Authorities or other entity about the Product, except as required by Applicable Laws or as may be necessary or appropriate to carry out its obligations hereunder; and (v) knowingly sell or distribute for resale the Product purchased hereunder to a Third Party who intends to sell outside of the Territory.
LIMITATION TO THE TERRITORY. Nycomed covenants and agrees that it will not, nor shall it permit its Affiliates, without the prior written authorization of Acusphere, to the extent allowed by Applicable Laws: (i) actively promote or actively solicit sale of the Product or advertise the Product, in any Jurisdiction where Nycomed does not have a necessary Marketing Authorization or in any country that is not part of the Territory; (ii) contact the FDA or Competent Authorities or other entity located outside the Territory about the Product, except as required by Applicable Laws or as may be necessary or appropriate to exercise its rights or carry out its obligations as set forth in this Agreement; and (iii) knowingly sell or distribute for resale the Product purchased hereunder to a Third Party who intends to sell such Product in a Jurisdiction where Nycomed does not have a Marketing Authorization, if required, or in any country that is not part of the Territory, provided that, with respect to both of the foregoing set forth in this clause (iii), such Jurisdictions are not members of the European Economic Area and such resale will not have significant effect in the European Economic Area.

CollaGenex hereby covenants that it will not, without the prior written authorization of Altana: (i) promote or actively solicit sale of the Product or advertise the Product, outside of the Territory; (ii) contact the Governmental Authorities or other entity about the Product, except as required by Applicable Laws or as may be necessary or appropriate to carry out its obligations hereunder; and (iii) knowingly sell or distribute for resale the Product purchased hereunder to a Third Party who intends to sell outside of the Territory.
LIMITATION TO THE TERRITORY. Purchaser agrees and shall cause its Designees and Affiliates to agree that: (i) all of the Product purchased hereunder shall be purchased for resale solely in the Territory; (ii) all of the Product shall be resold or otherwise distributed solely in the Territory; (iii) none of the Product purchased hereunder shall be reimported into the U.S.A.; and (iv) none of the Products purchased hereunder shall be resold or otherwise distributed in the U.S.A., Canada and Mexico.

Fujisawa hereby covenants that it will not, without the prior written authorization of Atrix: (a) promote or actively solicit the sale of the Product or advertise the Product, outside of the Territory; (b) purchase or cause to be purchased Product which Fujisawa has represented, directly or indirectly, as being for the purpose of sale in a specific country in the Territory for sale in any other country outside the Territory; (c) contact any of Atrix's suppliers or vendors of the Product, Bulk Drug or Raw Materials and Components for the purpose of causing the Product to be sold outside the Territory; (d) contact the Competent Authorities or other entity about the Product, except as required by Applicable Laws or as may be necessary or appropriate to carry out its obligations hereunder; and (e) knowingly sell or distribute for resale the Product purchased hereunder to a Third Party who intends to sell the Product outside of the Territory.
