Lawsuits and Claims. There are no unsatisfied judgments, claims, proceedings, actions, governmental investigations or lawsuits in existence, or, to the best of the information, knowledge and belief of the Vendor, contemplated or threatened against or with respect to the Assets or the interest of the. Vendor therein, and there exists no particular circumstance which the Vendor reasonably believes will give rise to such a claim, proceeding, action, governmental investigation or lawsuit;
Lawsuits and Claims. There is no suit, action, litigation or proceeding in which Seller is a party and has been served with respect to the Property, and there is no suit, action, litigation, or proceeding threatened against Seller with respect to the Property, or against any of the Property, in each case, in any court, arbitration venue or other dispute resolution venue or otherwise by or before any governmental authority.
Lawsuits and Claims. No suit or other proceeding shall be pending or threatened before any court or governmental agency seeking to restrain or prohibit this transaction, or to declare the transaction illegal, or to obtain substantial damages in connection with the transaction contemplated hereby.
Lawsuits and Claims. There is no action, suit, proceeding, claim or investigation by any person, entity, administrative agency or governmental body pending or, to the best of its knowledge, threatened, against Seller before any governmental authority that impedes or is likely to impede Seller=s ability to consummate the transactions contemplated by this Agreement except as otherwise set forth in Exhibit H attached hereto and made a part hereof for all purposes.
Lawsuits and Claims. Except as disclosed in Exhibit C or disclosed to ASSIGNEE prior to closing, and limited by Section 3.4, to ASSIGNOR's knowledge, there is no written demand or lawsuit, nor any compliance order, notice of probable violation or similar governmental action, pending or threatened before any court or governmental agency that (i) would result in a material impairment or loss of title to any part of the Property, or substantial impairment of the value thereof, or (ii) would materially hinder or impede the operation of the Property.
Lawsuits and Claims. Promptly notify Buyer of all lawsuits, claims, proceedings or investigations that are, or which any officers of the Company or any of the Shareholders has reason to believe may be, threatened, brought, asserted or commenced against the Company or any of its officers or directors, and which could have a Material Adverse Effect on the Company or the Business or which relates or could affect in any way the Shares or the transactions contemplated hereby, and not release, settle, compromise or relinquish any claims, causes of action or rights involving more than $25,000 individually or $50,000 in the aggregate which the Company may have against any other person or entity;
Lawsuits and Claims. Except as set forth on Schedule 3.2.1, there is no suit, action or claim pending before any judicial body or arbitration panel, nor any compliance order or similar governmental action pending before a governmental authority or, to Seller’s Knowledge, threatened with respect to any portion of the Property or Seller’s ownership or operation thereof, excepting, in each case, any Adverse Environmental Conditions, the exclusive remedy of which is set out in Section 5.3.
Lawsuits and Claims. Except as disclosed in Exhibit C or, with respect to any matter arising after the execution date of this Agreement, disclosed to ASSIGNEE in writing after execution of this Agreement and prior to Closing, to ASSIGNOR’s knowledge, there is no written demand or lawsuit, nor any compliance order, notice of probable violation or similar governmental action, pending or threatened before any court or governmental agency (a) against ASSIGNOR or (b) against the Property, in each case, with respect to the ownership or operation of the Property that (i) would result in a material impairment or loss of title to any part of the Property, (ii) seeks the imposition of substantial damages with respect to the Property, (iii) would materially hinder or impede the operation of the Property or (iv) would otherwise have an adverse effect in any material respect on the Property.
Lawsuits and Claims. Except as disclosed in Exhibit C or disclosed to W&T in writing prior to Closing, and limited by Section 3.4, to KMG’s knowledge, there is no written demand or lawsuit, nor any compliance order, notice of probable violation or similar governmental action, pending or threatened before any court or governmental agency that (i) would result in a material impairment or loss of title to any part of the Property, or substantial impairment of the value thereof, or (ii) would materially hinder or impede the operation of any material part of the Property.
Lawsuits and Claims. Except as set forth on Exhibit G, there is no judgment, order, decree or award, or suit, action or administrative, arbitration or other proceeding or governmental investigation of any kind in existence or pending or, to Seller's knowledge, threatened in writing against Seller which has a material adverse effect on the Property or the value thereof, and Seller has not received or been advised in writing of any unsatisfied request for information, notice, administrative inquiry or claim (including but not limited to those from the U.S. Environmental Protection Agency or a state or local environmental agency) with respect to the Property.
