Lawsuits and Claims. Except as disclosed in Exhibit C or disclosed to W&T in writing prior to Closing, and limited by Section 3.4, to KMG’s knowledge, there is no written demand or lawsuit, nor any compliance order, notice of probable violation or similar governmental action, pending or threatened before any court or governmental agency that (i) would result in a material impairment or loss of title to any part of the Property, or substantial impairment of the value thereof, or (ii) would materially hinder or impede the operation of any material part of the Property.
