Key Employee Defined. A key employee is an employee who is salaried, and is among the highest paid 10% of the employees employed within 75 miles of his or her work site. To determine who is the highest paid 10%, year-to-date earnings as of the date leave is requested are considered.
Key Employee Defined. For purposes of this Agreement, your status as a “Key Employee” will be redetermined for each calendar year. You will be treated as a “Key Employee” for a particular year if at any time during the 12 month period ending on the August 31 prior to the beginning of the year you met the requirements of Section 416(i)(1)(A)(i), (ii) or (iii) of the Code (applied in accordance with regulations issued pursuant to Section 409A of the Code and disregarding Section 416(i)(5) of the Code). If another entity merges with or into or otherwise becomes part of the same controlled group of corporations as Accuride so as to be treated as a single service recipient under Prop. Treas. Reg. §1.409A-1(g), and you were an employee of Accuride or the other entity and you were a “Key Employee” of either Accuride or the other entity immediately before the merger or other transaction, you will be treated as a Key Employee for purposes of this Agreement until the first day of the year that begins after the August 31 next following the merger.
Key Employee Defined. The term "key-Employee" means any Employee or former Employee who at any time during the relevant Plan Year or any of the 4 preceding Plan Years is:
Key Employee Defined. “Key Employee” means any employee or former employee (including any deceased employee) who at any time during the Plan Year that includes the determination date was an officer of the Company or an Affiliate having annual compensation greater than $130,000 (as adjusted under Code §416(i)(1) for Plan Years beginning after December 31, 2002), a 5-percent owner of the Company or an Affiliate, or a 1-percent owner of the Company or an Affiliate having annual compensation of more than $150,000. For this purpose, annual compensation means compensation within the meaning of Code §414(g)(4). The determination of who is a key employee will be made in accordance with Code §416(i)(1) and the applicable regulations and other guidance of general applicability issued thereunder. Non-Key Employee means each Participant other than a Key Employee.
