GOVERNMENT PARTICIPATION. If GNPC elects to acquire an Additional Paying Interest (as defined in the Contract) pursuant to Article 2.6 of the Contract, the Parties (other than EO) shall contribute, in proportion to their respective Participating Interests, to the additional interest to be acquired by GNPC and shall execute such documents as may be necessary to effect such transfer of interests. All payments received for the acquisition of such interests shall be credited to the Parties (other than HO or GNPC in the event that GNPC is or becomes a party to this Agreement) in proportion to their Participating Interests.

GOVERNMENT PARTICIPATION. If Government Oil & Gas Company, elects to participate in the rights and obligations of Parties pursuant to Article 15 of the Contract, the Parties shall contribute, in proportion to their respective Participating Interests, to the interest to be acquired by Government Oil & Gas Company. The effective date of the Government’s participation shall be the date of the adoption of the development plan under Article 7 of the Contract. The Parties shall execute such documents as may be necessary to effect such transfer of interests and the joinder of Government Oil & Gas Company as a Party to this Agreement. All payments received for or related to the transfer of such interests and the joinder of the Government shall be credited to the Parties in proportion to their Participating Interests.

(a) If Government Oil & Gas Company elects to participate in the rights and obligations of Parties under Article 15 of the PSC, the Parties shall contribute, in proportion to their respective Participating Interests, to the interest to be acquired by Government Oil & Gas Company.

Supplier represents and warrants that neither it nor any of its current directors, principals, officers, or key personnel are currently excluded, debarred, suspended, proposed for debarment or otherwise ineligible to contract with any municipal, provincial, state or federal government in Canada or elsewhere. Supplier will notify Stilmas of any change in the status of such representation and warranty.
