FEES AND SERVICES DESCRIPTION. The Hosted Services fees are determined as follows: Each Product of the Hosted Service, as defined below, has a defined billable unit on which its use is charged. To license use of the Hosted Services, Licensee may commit to a minimum term of service as described in the Services Order. For each Product that Licensee wishes to license, Licensee also may commit to a minimum quantity of billable units for that Product (the “Committed Usage” or “Qty” or “Quantity”) in the Services Order. Depending on these commitment levels, if any, Licensee is offered the Product at a specific, agreed price per unit as described in the Services Order. Any included monthly volume (the “Monthly Committed Usage”) specified in the Services Order shall expire at the end of the applicable month and shall not be carried over to any other month. The monthly subscription fees for the Hosted Services are based on the quantity of the Committed Usage multiplied by the Net Unit Price (the “Net Unit Price”) described in the Services Order for each Hosted Service Product (the “Monthly Subscription Fees”). The overage fees for the Hosted Services are based on the number of units in excess of the Committed Usage in the Services Order during the Monthly Billing Period and calculated by this number of excess units multiplied by the Net Unit Price for that Product (the “Overage Fees”). The total monthly fees are the sum of the Monthly Subscription Fees and the Overage Fees for all Hosted Services in the applicable Services Order. The Hosted Services are described in Exhibit A.
