E.I. Discount Return Part or all of the increased contributions towards the Employer Health Tax, Extended Health, Dental Benefits, and Life Insurance Benefits shall be covered by the E.I. Discount Return.
E.I. Rebate The members’ share of the E.I. premium reduction rebates will be retained by the Board and used to pay a portion of the Federation cost of Federation Release.
E.I. Each Lender with a Revolver Commitment shall be obligated to settle with Agent as provided in Section 2.3(e) (or Section 2.3(g), as applicable) for the amount of such Lender’s Pro Rata Share of any unintentional Overadvances by Agent reported to such Lender, any intentional Overadvances made as permitted under this Section 2.3(d)(ii), and any Overadvances resulting from the charging to the Loan Account of interest, fees, or Lender Group Expenses.
E.I. Section 10.1(e)(i) of the Credit Agreement is hereby amended to insert the following proviso at the end of subclause (B) thereof: ; provided that the occurrence of any scheduled repurchase date for the Convertible Notes or any event allowing holders of the Convertible Notes to exercise their right to convert, in each case in accordance with the terms of the Convertible Note Documents, shall not constitute an Event of Default under this clause (i).
E.I. Section 9.13(e)(i) is hereby amended by adding the words “or any Responsible Officer” after the words “board of directors” in the fourth line thereof.

If the parties are unable to agree on an arbitration, either party may request the Federal Mediation and Conciliation Service to submit a list of names from the Service's panel from which an arbitrator may be chosen. No arbitrator shall be appointed by the Service who has not been approved by both parties.
