Effective Date: Term of Employment. This Agreement shall commence and be effective as of the date hereof and shall remain in effect, unless earlier terminated, or extended or renewed, as provided in Section 9 of this Agreement, through the third anniversary of the date hereof (the “Third Anniversary”).

Executive's term of employment under this Agreement shall commence on the Effective Date hereof and, subject to the terms hereof, shall terminate on the Termination Date; provided, however, that any termination of Employment by Executive for Good Reason or pursuant to the Change in Control provisions of Section 8 may only be made on 30 days' prior written notice and any other termination of employment by Executive other than for death, Permanent Disability or Good Reason may only be made upon 90 days' prior written notice to the Company.

If for any reason Executive is not employed by the Company on the Effective Date, this Agreement shall be null and void and of no force and effect, and the rights and obligations of the parties in connection with Executive ceasing to be so employed shall be governed by the terms of the Prior Agreement.
Effective Date: Term of Employment. (a) The Company shall employ Executive as Chief Technology Officer during the term of his employment, subject to the terms and conditions set forth in this Employment Agreement, and Executive hereby accepts such employment.

For purposes of this Agreement, “Term of Employment” shall mean the period commencing on the Effective Date and ending on the date this Agreement is terminated in accordance with Section 9(e) of this Agreement or the date Executive’s employment and/or this Agreement is otherwise terminated.

This Agreement shall commence and be effective for all purposes as of the date first set forth above and shall remain in effect, unless earlier terminated as provided in Section 7 hereof, until November 30, 2000 (the "Initial Termination Date"), which date shall be extended to the subsequent November 30 unless no less than sixty (60) days prior to the Initial Termination Date or subsequent extension thereof, either party has given the other written notice of termination hereof. The period during which Employee is employed by Employer pursuant to this Agreement is herein called the "Term of Employment."

Thereafter, this Agreement shall automatically renew for one (1) year periods (each period referred to as a “Renewal Term”) unless this Agreement is terminated in accordance with the terms of this Agreement. The period during which this Agreement is effective being referred to as the “Term of Employment”.
Effective Date: Term of Employment. (a) The Executive and the Corporation are parties to an Employment Agreement dated on or about August 1, 2001 (the "Existing Agreement") and agree that the terms and conditions of the Existing Agreement shall continue in full force and effect until September 30, 2004. This Agreement shall come into effect on October 1, 2004 (the "Effective Date").
