Duties of the President and Chief Executive Officer. The president and chief executive officer shall have general supervision, direction and control of the conduct of the Company’s ordinary and usual business affairs and its day-to-day operations, subject to any limitations as may be imposed by the Board. The president and chief executive officer shall see that all orders and resolutions of the Member and of the Managers are effected and shall have and shall exercise and perform such other powers and duties as may from time to time be assigned to him or her by the Board or pursuant to this Agreement.

Duties of the President and Chief Executive Officer. The President and Chief Executive Officer shall report directly to the Board of Directors. All other officers and managers of the Company shall report through the appropriate channels to the Chief Executive Officer. The Chief Executive Officer shall be responsible for carrying out the mandates of the Board of Directors and generally shall have the ultimate responsibility for day-to-day operations of the Company and its operating divisions and subsidiaries. The Chief Financial Officer shall manage, supervise and direct all of the activities of the Company. Further, there may be one or more Vice Presidents designated to assist the Chief Financial Officer in the performance of his duties.
