Duties and Powers of the Chief Executive Officer. The Chief Executive Officer of the Company shall, subject to the control of the Board of Managers, have general supervision, direction and control of the day-to-day affairs of the Company and shall report directly to the Board of Managers. Unless limited by the Board of Managers or this Agreement, he or she shall have the general powers and duties of management usually vested in the office of chief executive officer of corporations and shall have such other powers and duties as may be prescribed by the Board of Managers. In the absence or disability of the Chief Executive Officer, an Officer designated by the Board of Managers, shall perform all duties of the Chief Executive Officer.

Duties and Powers of the Chief Executive Officer. 3.3.3 Subject to (a) the rights of the Co-Investors pursuant to this Agreement and (b) the ultimate direction, control and supervision of the Board, the day-to-day business, affairs, operations and activities of the Company shall be managed by a Chief Executive Officer and such officers and employees of the Company as shall be designated or appointed from time to time in accordance with the terms of this Agreement.
