Duties and Covenants. The Employee is engaged as Chairman of the Board, President, and Chief Executive Officer of the Employer and is to perform such duties and services as may be assigned to him from time to time by the Board of Directors or principal executive officers of the Employer and Starxxxx xxx shall observe the by-laws and policies of the Employer and Starxxxx xxxm time to time promulgated by the Board of Directors and principal executive officers thereof. Notwithstanding the foregoing, in no event shall the Employee be required to perform services not commensurate with his office. The Employee agrees that he will devote his entire business time, attention and best efforts and will not engage in any conduct detrimental in any material respect to the business and affairs of the Employer and its affiliates, and will not engage or be interested in any capacity, directly or indirectly, in any other business activity during the term of the Agreement. Nothing contained in this paragraph 5 shall prevent the Employee from investing in passive equity interests in real estate provided such investments are not inconsistent with Employee's responsibilities hereunder, or holding stock (less than 3% of the outstanding) in any public corporation. In no event (including removal from office under paragraph 7 below) shall the Employer directly or indirectly require the Employee to relocate his principal residence outside of South Florida. The Employee agrees that during the term of this Agreement and at all times thereafter, he will not, without the Employer's prior written consent, divulge, furnish or make accessible to any third party (other than in the regular course of business of the Employer or its subsidiaries or as required by law or valid legal process) any non-public, confidential information of or concerning the Employer or its affiliates.

Duties and Covenants. (a) Xxxxxxx shall have the duties, powers, responsibilities and authority customarily associated with the position of the principal executive officer of the Parking Operations and Xxxxx shall have the duties, responsibilities, powers and authority customarily associated with the position of an executive officer of the Parking Operations, including but not limited to responsibility for the administration, finance and the sharing of responsibility for and coordination of the operations of the Parking Services. Each Employee acknowledges and agrees that he is a full-time employee of Manager and agrees that it is a condition of this Agreement that he devote his full time, skill, best efforts and attention to the performance of the Management Activities to be provided by the Manager pursuant to this Agreement; provided, however, that it is further agreed by each Employee, the Manager and the Company that what will constitute the provision of such ‘‘full time’’ services for these purposes is to be determined consistent with the prior practices of the Employees as employees of the Manager. Employees shall be entitled to receive vacations consistent with past practices for 1997 under the Prior Management Agreement. In performing the Management Services, each Employee shall not be required to travel outside the Region more than fifteen (I 5) days per calendar year.

  • Duties and Status The Company hereby engages Executive as its President and CEO on the terms and conditions set forth in this Agreement including the terms and conditions of the Employee Proprietary Information, Inventions, and Non-Competition Agreement attached hereto as Exhibit A and incorporated herein (the “Non-Disclosure Agreement”). Executive agrees to devote the Executive’s entire business time, attention and energies to the business and interests of the Company during the Employment Period. During the Employment Period, Executive shall report directly to the Board of Directors (the “Board”) and shall exercise such authority, perform such executive functions and discharge such responsibilities as are reasonably associated with Executive’s position, commensurate with the authority vested in Executive pursuant to this Agreement and consistent with the governing documents of the Company.

All references in the Master Terms to Loans, Eligible Loans, Initial Loans or Purchased Loans, as applicable, shall be deemed to refer to the Loans governed by this Initial Purchase Agreement. VL Funding hereby makes all the representations and warranties set forth in Sections 5(A) and (B) of the Master Terms regarding the Initial Loans described in the Initial Xxxx of Sale and the related Loan Transmittal Summary Form, as of the Closing Date. Each of VL Funding and the VL Funding Eligible Lender Trustee for the benefit of VL Funding authorizes the Interim Eligible Lender Trustee for the benefit of Funding to use a copy of the Initial Xxxx of Sale, including the Loan Transmittal Summary Form attached to the Initial Xxxx of Sale (in lieu of OE Form 1074), as official notification to the applicable Guarantors of assignment to the Interim Eligible Lender Trustee on behalf of Funding of the Initial Loans purchased pursuant hereto on the Closing Date. The parties hereto intend that the transfer of Purchased Loans described in the Initial Xxxx of Sale and related Loan Transmittal Summary Form be, and be construed as, a valid sale of such Purchased Loans. However, in the event that notwithstanding the intention of the parties, such transfer is deemed to be a transfer for security, then each of VL Funding and the VL Funding Eligible Lender Trustee hereby grants to Funding and the Interim Eligible Lender Trustee for the benefit of Funding a first priority security interest in and to all Purchased Loans described in the Initial Xxxx of Sale and related Loan Transmittal Summary Form to secure a loan in an amount equal to the Purchase Price of such Purchased Loans.
