Prior Management Agreement definition

Prior Management Agreement has the meaning ascribed to such term in the Recitals.

Prior Management Agreement means the Management Agreement executed by the parties on June 12, 1995, and approved by the City Council of Pueblo in Ordinance No. 5974, introduced April 24, 1995. This Agreement was amended by Addendum No. 1, dated April 10, 2000, and approved by the City Council of Pueblo in Resolution No. 8967.

Prior Management Agreement means that certain Amended and Restated Stockholders Agreement entered into by the Company and members of the Company’s management dated as of February 11, 2000, and as amended February 22, 2000.

• As this Agreement is intended to be an amendment and restatement of the Prior Management Agreement, the parties intend this document to be interpreted to apply from the Original Effective Date, except where there is otherwise an express reference to the First Amendment Effective Date or the Second Amendment Effective Date.
