Direction of Personnel. [SELECT ONE, DELETE THE OTHER] [Client shall be responsible for the precise tasks, services and assignments that the Personnel assigned to Client perform pursuant to this SOW, subject to Xxxxxxxxx’x or the Xxxxxxxxx Affiliate’s, as applicable, general right of supervision as employer under applicable law and as set forth in this Agreement. Client shall be responsible for providing Personnel with such policies, practices, procedures, and day-to-day guidance, direction, and assistance as is necessary and appropriate for the successful and timely completion of the tasks and projects assigned to the Personnel hereunder (all of which shall be Client-Directed Activities), including, without limitation, Client’s document retention, management and other applicable policies and regulations. Client represents that its policies, practices, procedures, guidance and direction given to or otherwise related to any Client-Directed Activities performed by any Personnel hereunder are, and shall remain, in compliance with all applicable industry standards, laws, rules and regulations; all applicable Medicare, Medicaid, and any other governmental or applicable third-party payor guidance, policies, and procedures. Client agrees and acknowledges that Xxxxxxxxx and the Xxxxxxxxx Affiliates shall have no liability or responsibility for any claims, losses, damages or liabilities with respect to any tasks, services, or assignments that Personnel undertake (or refrain from taking) hereunder, except to the extent caused by (a) the breach of Xxxxxxxxx of its obligations under this Agreement; or (b) the gross negligence or willful misconduct of Xxxxxxxxx or the applicable Xxxxxxxxx Affiliate.] OR [Prior to any Personnel beginning the performance of services hereunder, Xxxxxxxxx shall assist Client in developing a written guide setting forth the requirements and procedures according to which the Personnel shall perform services hereunder (the “Procedures”). Client shall provide Xxxxxxxxx with such training, manuals and other information as Xxxxxxxxx may reasonably require to develop a proposed form of Procedures for Client’s review and approval, which shall not be unreasonably delayed but may be granted or withheld in Client’s sole discretion.   • REDUCTION OF PERSONNEL A. The District and the Association recognize the possibility that the financial condition of the schools at a given time could necessitate a curtailment of program on the part of the District, including a reduction of personnel. The parties also recognize that such determinations are within the exclusive discretion of the District. In the event of a general cutback or reduction of personnel through layoff from employment, the following procedure, based upon program needs, will be utilized by the District or its designated representatives:

  • Removal of Personnel TFC may request that the Contractor replace unsatisfactory personnel, which request shall not be unreasonably denied.

Manager may allow its employees who work at the Property and provide services to the Property after normal business hours, to reside at the Property for reduced rents (or rent fee as provided in the Operating Budget) in consideration of their benefit to Owner and the Property, provided such reduced rents are reflected in the Annual Business Plan.

  • Correction of Personal Information 8. Within 5 business days of receiving a written direction from the Public Body to correct or annotate any personal information, the Contractor must annotate or correct the information in accordance with the direction.

  • Review of Personnel File Upon written authority from an employee, OC shall permit the President of the Union or their designate to review that employee's personnel file in the office in which the file is normally kept in order to facilitate the proper investigation of a grievance.

  • Contents of Personnel File A. Adverse statements prepared by the County shall not be included in an employee's official personnel file unless a copy is provided to the employee.
