Directed Activities Clause Samples
The Directed Activities clause defines the circumstances under which one party may instruct or require another party to perform specific tasks or activities. Typically, this clause outlines the scope of permissible directions, the process for issuing instructions, and any limitations or conditions that must be met before activities are undertaken. For example, it may specify that the client can direct the contractor to carry out additional work within the original project scope, provided such directions are given in writing. The core function of this clause is to ensure that both parties understand how and when activities outside the standard agreement can be initiated, thereby providing flexibility while maintaining clear boundaries and responsibilities.
Directed Activities. Take on behalf of the Owner or cause the Owner to take any action or commit to any action that is contrary to the good faith reasonable instructions of the Owner, provided that the foregoing shall not be construed to require the Manager to take any action in violation of applicable Law or to incur any cost or liability that will not be reimbursed or assumed by the Owner.
Directed Activities. From time to time the NSF Program Director may require the Awardee to attend such meetings, seminars, conferences and planning and other events and/or to provide related supplies and services as necessary to disseminate information regarding registration services activity to the worldwide Internet community and/or to facilitate the most effective, efficient and ubiquitous registration services possible on an expedited basis. In such a case, the following procedures will be followed;

At the request of the NSF Program Director, as set forth in article 13 (below), the Awardee shall attend such meetings, seminars, conference and planning and other events and shall provide such related supplies and services as necessary to promulgate info rmation regarding registration activity to the worldwide internet community and to facilitate the most effective, efficient and ubiquitous registration services possible.
