Deterrence. Except for information relating to general economic climate and general industry conditions and any changes of law, the Vendors have no information or knowledge of any fact relating to the Vendors's Rights, the Corporation's business or the Corporation's ownership and operation of the Corporation's Assets not disclosed to the Purchaser or JAWS which, if known to the Purchaser or JAWS, might reasonably be expected to deter the Purchaser from completing the transactions herein contemplated.

Disagreements will be arbitrated privately between involved police and school staff. Failure to reach a mutually satisfactory course of action should be resolved by referral to appropriate superiors. School staff with concerns regarding the School Resource Officer's conduct should notify the school principal. The school principal should then inform the Investigative Team Commander, Field Operations Commander, or the Chief of Police. School Resource Officers should not take advantage of the school's "captive audience" for routine police investigations. The school's primary purpose is to educate, and nonessential interviews by police and others may be disruptive. Unless an emergency exists, School Resource Officers should contact designated school officials and/or parents prior to personally requesting information from students, interviewing students, or taking students into custody.
