Determination of Award. The amount of the Award due to Lessor and Lessee as a result of Appropriation shall be separately determined by the court having jurisdiction of such proceedings based on the following: Lessor shall be entitled to that portion of the Award attributable to the value of the fee interest in the Premises (or portion thereof subject to Appropriation, in case of a partial Appropriation) subject to this Lease, and to the value of Lessor's reversionary interest in the Improvements (or portion thereof subject to Appropriation, in case of a partial Appropriation), as determined by the court; Lessee shall be entitled to that portion of the Award attributable to the value of Lessee's leasehold interest in the Premises (or portion thereof subject to Appropriation, in case of a partial Appropriation) and to the value of Lessee's interest in the Improvements (or portion thereof subject to Appropriation, in case of a partial Appropriation), as determined by the court.

Determination of Award. Following the end of the Performance Period, the Committee will certify the payout percentage for each target award for each applicable performance period. The PSUs subject to vesting during the applicable performance period will, together with their associated dividend equivalents, be automatically forfeited if the Company’s performance during such applicable performance period does not meet or exceed the 30th percentile. Performance at or above the threshold level will result in PSUs becoming vested as set forth below, and shares underlying such vested PSUs shall be distributed following completion of the certification described above.

Determination of Award. Subject further to this paragraph 3(b), Executive's Transaction Bonus Award shall be ____% of the Transaction Bonus Pool. However, if prior to December 31, 2002, control of the Company's Outsourcing Business is transferred for consideration to any of Affiliated Computer Systems, Inc., KPMG, Unisys or any of their affiliates, as determined by the Company, Executive's Transaction Bonus Award with respect to the Outsourcing Business shall be reduced to ___% if a Transaction Bonus Award is paid to a then-former Executive who is contractually entitled to such a Transaction Bonus Award under a Retirement Agreement dated as of January 2, 2002 between the former Executive and the Company. The determination of whether a Transaction or a Transaction Date has occurred, the Transaction Price and the amount payable to Executive, if any, will be made by the Company. Anything in this Agreement to the contrary notwithstanding, the Company may not otherwise use its discretion to increase or decrease the amount of the Transaction Bonus Award payable to the Executive except with his consent.
Determination of Award. As soon as administratively practicable after the end of the Performance Period, in accordance with Section 4(b) of the Plan, the Committee shall certify in writing (a) the level of attainment of the Performance Targets and (b) the incentive amounts earned by the Participant pursuant to the Award. Notwithstanding the level attained for each Performance Target, the Committee may reduce the amount payable to the Participant with respect to the Award based on factors the Committee deems relevant.
Determination of Award. Except as otherwise provided herein, the Participant’s earned Award for the Performance Period shall equal the product of: (a) the Participant’s Target Award Opportunity and (b) the percent of Target Award Opportunity earned as determined in Paragraph 2 above. The Committee shall have the sole authority to calculate the Participant’s earned Award.
Determination of Award. As soon as possible after the end of the Performance Period, the Compensation Committee of the Board of Directors of the Company (the “Committee”) will certify whether the applicable performance objectives set forth in Appendix A have been met for the Performance Period and determine the number of shares of Common Stock, if any, payable in accordance with this Agreement, subject to the right of the Committee to adjust the payout level of the PSUs as may be provided in the Plan or as the Committee otherwise determines to reflect the impact of specified corporate transactions (such as a stock split or dividend), special charges, accounting or tax law changes and other extraordinary or nonrecurring events. 4. Issuance of Common Stock.
Determination of Award. (a) As soon as practicable following the receipt by the Compensation Committee of the Operating Cash Flow and Net Income from BellSouth’s 2006 audited financial statements, the Compensation Committee shall certify in writing whether one or more of the Performance Objectives have been satisfied and, if so, the amount of the Annual Bonus Pool.
