Confidential Information and Ownership of Documents. (a) Any reports, information, or other data prepared or assembled by the Consultant pursuant to this Agreement shall not be made available to any individual or organization by the Consultant without the prior written approval of the Administrator. During the term of this Agreement, and thereafter, the Consultant shall not, without the prior written consent of the City, disclose to anyone any Confidential Information. The term Confidential Information for the purposes of this Agreement shall include all proprietary and confidential information of the City, including but not limited to business plans, marketing plans, financial information, materials, compilations, documents, instruments, models, source or object codes and other information disclosed or submitted, orally, in writing, or by any other medium or media. All Confidential Information shall be and remain confidential and proprietary in the City.

Confidential Information and Ownership of Documents. (a) Any reports, information, or other data prepared or assembled by COLLECTION AGENCY pursuant to this Agreement shall not be made available to any individual or organization by COLLECTION AGENCY without the prior written approval of the Administrator. During the term of this Agreement, and thereafter, COLLECTION AGENCY shall not, without the prior written consent of CITY, disclose to anyone any Confidential Information. The term Confidential Information for the purposes of this Agreement shall include all proprietary and confidential information of CITY, including but not limited to business plans, marketing plans, financial information, materials, compilations, documents, instruments, models, source or object codes and other information disclosed or submitted, orally, in writing, or by any other medium or media. All Confidential Information shall be and remain confidential and proprietary in CITY.
Confidential Information and Ownership of Documents. 13.1 This Agreement and all materials, maps, and other documents which are marked confidential and disclosed by one party to the other in fulfilling the provisions and intent of this Agreement, are and shall be confidential. Neither party shall divulge or otherwise disclose the provisions of this Agreement to any third party without the prior written consent of the other party except for those required for the implementation of this Agreement, and to auditors, attorneys, financial advisors, lenders and prospective lenders, customers and prospective customers, provided that in each case the recipient agrees in writing to be bound by the confidentiality provisions set forth in this section, or unless required by a court order or as otherwise required by law or in any legal or arbitration proceeding relating to this Agreement. If either party is required by law or by interrogatories, requests for information or documents, subpoena, civil investigative demand or similar process to disclose the provisions of this Agreement or the design information referred to in this Section, it will provide the other party with prompt prior written notice of such request or requirement so that such party may seek an appropriate protective order or waive compliance with this Section. The party whose consent to disclose information is requested shall respond to such request in writing, within five (5) working days of the request by either authorizing the disclosure or advising of its election to seek a protective order, or if such party fails to respond within the prescribed period, the disclosure shall be deemed approved.
Confidential Information and Ownership of Documents. The data gathered in the appraisal (except data furnished by Client) prepared pursuant to this Agreement will remain the property of the Appraiser. Appraiser shall take reasonable steps to protect confidential information furnished to Appraiser by Client. Client shall specifically identify in writing at the time that said data is provided to Appraiser which data Client furnishes to Appraiser that Client deems confidential in nature. Appraiser is authorized by Client to disclose all or any portion of the appraisal report and the related appraisal data to appropriate representatives of the Appraisal Institute if such disclosure is required to enable Appraiser to comply with the Bylaws and Regulation of said Institute now or hereafter in effect.

  • Ownership of Confidential Information All Confidential Information shall be and shall remain the property of the party which supplied it to the other party.

  • Confidential Information The Executive shall hold in a fiduciary capacity for the benefit of the Company all secret or confidential information, knowledge or data relating to the Company or any of its affiliated companies, and their respective businesses, which shall have been obtained by the Executive during the Executive's employment by the Company or any of its affiliated companies and which shall not be or become public knowledge (other than by acts by the Executive or representatives of the Executive in violation of this Agreement). After termination of the Executive's employment with the Company, the Executive shall not, without the prior written consent of the Company or as may otherwise be required by law or legal process, communicate or divulge any such information, knowledge or data to anyone other than the Company and those designated by it. In no event shall an asserted violation of the provisions of this Section 10 constitute a basis for deferring or withholding any amounts otherwise payable to the Executive under this Agreement.
