Compliance with Legal and Insurance Requirements, Instruments, etc. Subject to Section 12.1 regarding permitted contests, Tenant, at its expense, shall at all times (a) comply with all Legal Requirements and Insurance Requirements regarding the use, operation, maintenance, repair and restoration of the Premises and Tenant’s Personal Property, whether or not compliance therewith may require structural changes in any of the Leased Improvements; and (b) procure, maintain and comply with all licenses, certificates of need, provider agreements and other authorizations required for the use of the Premises and Tenant’s Personal Property for the applicable Primary Intended Use and for the proper erection, installation, operation and maintenance of the Premises and Tenant’s Personal Property. If, after thirty (30) days of receiving notice from Landlord, Tenant fails to comply with the provisions of this Section, Landlord may, but shall not be obligated to, enter upon the Premises and make all Capital Additions and take such actions and incur such costs and expenses to effect such compliance as it deems advisable to protect its interest in the Premises, and Tenant shall reimburse Landlord for all costs and expenses incurred by Landlord in connection with such actions. Tenant covenants and agrees that none of the Premises, Tenant’s Personal Property or any Capital Additions shall be used for any unlawful purpose.

Compliance with Legal and Insurance Requirements, Instruments, etc. Subject to ARTICLE XII relating to permitted contests, Tenant, at its expense, will promptly (a) comply with all material Legal Requirements and Insurance Requirements in respect of the use, operation, maintenance, repair and restoration of the applicable Leased Property, whether or not compliance therewith shall require structural changes in any of the Leased Improvements or interfere with the use and enjoyment of such Leased Property, and (b) procure, maintain and comply with all licenses, certificates of need and other Authorizations required for any use of the applicable Leased Property and Tenant’s Personal Property then being made, and for the proper erection, installation, operation and maintenance of the applicable Leased Property or any part thereof, including without limitation any Capital Alterations. In addition, Tenant shall promptly send to Lessor any material deficiency report Tenant receives from any federal, state or local licensure board or certification agency or authority with respect to any Facility if Tenant has not cured such deficiency within the applicable cure period.

If Lessee shall fail to comply with any such Legal Requirements or Insurance Requirements or shall fail to procure, maintain and/or comply with any such licenses, certificates of need, provider agreements or other authorizations, then, upon ten (10) days’ prior written notice (except (a) in the event of an emergency, in which case no prior notice shall be required or (b) in the case of any other express provision of this Lease that permits Lessor to self-help rights or remedies on less than ten (10) day’s prior written notice or upon no notice, in which case such shorter or no notice shall be required in connection therewith, as applicable), Lessor, without waving or releasing any obligation or default of Lessee as a result thereof, may, but shall not be obligated to, enter upon the Leased Property and all Capital Additions thereto and take such actions and incur such reasonable costs and expenses to effect such compliance, procurement or maintenance as it deems necessary or advisable to protect its interest in the Leased Property and all Capital Additions thereto, and Xxxxxx shall reimburse Lessor for all such reasonable costs and expenses incurred by Lessor in connection with such actions. Lessee covenants and agrees that the Leased Property, Xxxxxx’s Personal Property and all Capital Additions shall not be used by Lessee or any Person claiming by, through or under Lessee for any unlawful purpose.

Compliance with Legal and Insurance Requirements, Instruments, etc. Subject to Section 6.22.14 relating to permitted contests, Borrowers, at their expense, will promptly (a) comply or cause to be complied, in all material respects, with all applicable Legal Requirements and Insurance Requirements in respect of the use, operation, maintenance, repair and restoration of the Facilities and the Personal Property, whether or not compliance therewith shall require structural changes in any of the Facilities (any such structural changes, nevertheless, being subject to Lender’s prior written approval) or interfere with the use and enjoyment of any Facility, including such expenditures as are required to conform the Facilities to such standards as may from time to time be required by Federal Medicare or Medicaid Licensed Care Nursing Programs, if applicable, or any other applicable programs or legislation, or capital improvements required by any other governmental agency having jurisdiction over the Facilities or the business being operated on the Facilities as a condition to the continued operation of any Facility, or approval for Medicare, Medicaid or similar programs, pursuant to present or future laws or governmental regulation; and (b) procure, maintain and comply in all material respects with all licenses, certificates of need, provider agreements and other authorizations required for any use of the Facilities and the Personal Property then being made, and for the proper erection, installation, operation and maintenance of the Facilities or any part thereof.

Compliance with Legal and Insurance Requirements, Instruments, etc. Lessee, at its expense, will (a) comply with all Legal Requirements and Insurance Requirements in respect of the use, operation, maintenance, repair and restoration of each Leased Property, whether or not compliance therewith shall require structural changes in any of the Leased Improvements or interfere with the use and enjoyment of a Leased Property; and (b) procure, maintain and comply with all licenses and other authorizations required for the use of each Leased Property and for the operation and maintenance of the Leased Improvements including compliance with the provisions of the License Agreements with Hxxxxx'x Food Systems, Inc. with respect to each Leased Property (including Lessee's obligations to make periodic improvements to the Leased Properties to conform with design standards imposed under such License Agreements) and taking any action necessary to avoid a default or termination under such License Agreements.
