Upon Readiness for First Synchronization, fuel, electric distribution, water, sewer, telephone and drainage facilities, and all other utilities required to adequately service the Leased Property for its intended use will be available.
All utilities serving the Leased Property, or proposed to serve the Leased Property in accordance with the Plans and Specifications, are or will be located in, and vehicular access to the Leased Property is provided by, either public rights-of-way abutting the Leased Property or valid easements that run with the land and the benefit of which are part of the leasehold estate demised under the Ground Lease.
There are no Lessor Liens attributable to such Participant on the Lease or the Leased Property.

Lessor may foreclose on the lien of the Lease or any Security Instrument on the Leased Property and the other Collateral or any portion thereof, in which event Construction Agent shall pay to the Administrative Agent, upon demand, any deficiency between (x) the Lease Balance and (y) the proceeds of any foreclosure sale.
