Communication Products. Nokia IPR Department Nokia House Xxxxxx Xxxxxx Xxxxxxxxxxx Xxxxxxxxx XX00 0XX XX 1 PATENT LICENCE AGREEMENT THIS AGREEMENT is made the 31st day of December 2003 BETWEEN WAVECOM S.A. a company validly organised and existing under the laws of France, having its principal office at 0, xxxxxxxxx xx Xxxxxx, 00000 Xxxx-xxx-Xxxxxxxxxx Xxxxx, Xxxxxx hereinafter referred to as "Wavecom", of the one part, and NOKIA CORPORATION, a public corporation validly organised and existing under the laws of Finland, having its principal office at FIN-02150 Espoo, Xxxxxxxxxxxxxx 0, Xxxxxxx, hereinafter referred to as "Nokia", of the other part.
Communication Products. The contractor will detail what communication tools and platforms it will utilize, with details on distribution, dissemination, and utilization of each. Communication tools may include, but are not limited to: brochures, flyers, posters, social media sites, television, podcasts, radio, blogs, online publication, websites, newspaper, infographics, billboards, etc. The communication tools should be proposed while demonstrating how they are relevant to the context of this project and the targeted audiences. Content Creation and Acquisition: The contractor will be responsible for creating and acquiring professional, high-quality content for the design and publication of its communication products. Content includes, and is not limited to: photography, video or films, written text, infographics, illustrations, graphics, pictograms, maps, etc. The contractor will share with USAID a list or group of professional and reputable content creators, along with their portfolios, that it proposes to hire for specific assignments. While the contractor is encouraged to work with creatives and artists to produce original content for its communication and outreach activities, a certain amount of licensed or stock content may be utilized as well.
Communication Products. The grant allowed us to carry out two type of communication products: (i) electronic and (ii) printed. Currently the web page has a static and a dynamic part. Basic information is being kept in three languages, and the visitor can choose, in the opening page, the language she wishes to use. The web-page provides a description of the model forests and the governing bodies. It also presents a map with each model forests, and links from each site to a description of key features of each model forest. A reference to the origin of the initiative and flashy interesting information is included. The web page shows a button for encouraging support that has been used mainly by students and volunteers. Another button invites visitors to subscribe to the monthly bulletin. With co-financing from CATIE, CUSO and CIDA/IDRC/IMFNS and active participation from all model forests, LAC-Net has issued 18 monthly bulletins, each featuring a “model forest of the month”, a section on funding opportunities, a section on capacity building, a section on communications and a section on Networking. Each of these bulletins has been translated to English and Portuguese, features links to relevant sources of information, and photos to illustrate events or news. All the Sections of the Bulletin were developed based on feedback from model forests themselves, as there are the most important target audience of the bulletin. We constantly keep in touch and evaluate the usefulness of the bulletin. As tangible results, partners and MF clients are increasingly sending us information to be shared through the bulleting. Suscription to the bulletin has more than doubled since it was launched. What is worth mentioning, is that a communication strategy has been proposed and will be presented in the Directory in the first meeting of 2007.

  • Offering Communications Other than the Preliminary Prospectus and the Prospectus, each Underwriter severally represents, warrants and agrees with VW Credit and the Seller that it has not made, used, prepared, authorized, approved or referred to and will not prepare, make, use, authorize, approve or refer to any “written communication” (as defined in Rule 405 under the Securities Act) that constitutes an offer to sell or solicitation of an offer to buy the Notes, including, but not limited to any “ABS informational and computational materials” as defined in Item 1101(a) of Regulation AB under the Securities Act unless such Underwriter has obtained the prior written approval of VW Credit and the Seller; provided, however, each Underwriter may prepare and convey to one or more of its potential investors without the consent of VW Credit, the Seller or any of their respective affiliates one or more “written communications” (as defined in Rule 405 under the Securities Act) in the form of (i) an Intex CDI file that does not contain any Issuer Information (as defined below) other than Issuer Information included in the Preliminary Prospectus previously filed with the Commission or (ii) other written communication containing no more than the following: (a) information contemplated by Rule 134 under the Securities Act, (b) information included or to be included in the Preliminary Prospectus or the Prospectus, and (c) a column or other entry showing the status of the subscriptions for the Notes and/or expected pricing parameters of the Notes (each such written communication, an “Underwriter Free Writing Prospectus”). VW Credit and the Seller each authorize each Underwriter to disseminate any “road show” (as defined under Rule 433(h) under the Securities Act) in which representatives of VW Credit or the Seller participate. As used herein, the term “Issuer Information” means any information of the type specified in clauses (1) – (5) of footnote 271 of Commission Release No. 33-8591 (Securities Offering Reform), other than Underwriter Derived Information. As used herein, the term “Underwriter Derived Information” shall refer to information of the type described in clause (5) of footnote 271 of Commission Release No. 33-8591 (Securities Offering Reform) when prepared by any Underwriter, including traditional computational and analytical materials prepared by the Underwriter.

  • Other Products and Services As our customer, you have access to a suite of financial products and services availed by ourselves, our affiliates and strategic partners designed to help you address and achieve your financial needs and goals. You agree that you can obtain information about such Products and Services via our website xxx.xxxxxxxx.xxx.xx and you further agree that we can from time to time communicate information in relation to such Products or Services to you specifically or generally to all cardmembers via such communication mode as we consider appropriate.

  • Third Party Products and Services Through its Product(s), Palo Alto Networks may make available to you third-party products or services (“third-party apps”) which contain features designed to interoperate with our Products. To use such features, you must either obtain access to such third-party apps from their respective providers or permit Palo Alto Networks to obtain access on your behalf. All third-party apps are optional and if you choose to utilize such third-party apps:

  • Product Information Contractor shall provide the following information for all goods provided pursuant to this Agreement: manufacturer’s name, product code number, and pack size.

  • Products Products available under this Contract are limited to Software, including Software as a Service, products and related products as specified in Appendix C, Pricing Index. Vendor may incorporate changes to their product offering; however, any changes must be within the scope of products awarded based on the posting described in Section 1.B above. Vendor may not add a manufacturer’s product line which was not included in the Vendor’s response to the solicitation described in Section 1.B above.

  • Third Party Products 1. Third Party Hardware. We will sell, deliver, and install onsite the Third Party Hardware, if you have purchased any, for the price set forth in the Investment Summary. Those amounts are payable in accordance with our Invoicing and Payment Policy.

  • New Products You agree to comply with NASD Notice to Members 5-26 recommending best practices for reviewing new products.

  • Product ACCEPTANCE Unless otherwise provided by mutual agreement of the Authorized User and the Contractor, Authorized User(s) shall have thirty (30) days from the date of delivery to accept hardware products and sixty (60) days from the date of delivery to accept all other Product. Where the Contractor is responsible for installation, acceptance shall be from completion of installation. Failure to provide notice of acceptance or rejection or a deficiency statement to the Contractor by the end of the period provided for under this clause constitutes acceptance by the Authorized User(s) as of the expiration of that period. The License Term shall be extended by the time periods allowed for trial use, testing and acceptance unless the Commissioner or Authorized User agrees to accept the Product at completion of trial use. Unless otherwise provided by mutual agreement of the Authorized User and the Contractor, Authorized User shall have the option to run testing on the Product prior to acceptance, such tests and data sets to be specified by User. Where using its own data or tests, Authorized User must have the tests or representative set of data available upon delivery. This demonstration will take the form of a documented installation test, capable of observation by the Authorized User, and shall be made part of the Contractor’s standard documentation. The test data shall remain accessible to the Authorized User after completion of the test. In the event that the documented installation test cannot be completed successfully within the specified acceptance period, and the Contractor or Product is responsible for the delay, Authorized User shall have the option to cancel the order in whole or in part, or to extend the testing period for an additional thirty (30) day increment. Authorized User shall notify Contractor of acceptance upon successful completion of the documented installation test. Such cancellation shall not give rise to any cause of action against the Authorized User for damages, loss of profits, expenses, or other remuneration of any kind. If the Authorized User elects to provide a deficiency statement specifying how the Product fails to meet the specifications within the testing period, Contractor shall have thirty (30) days to correct the deficiency, and the Authorized User shall have an additional sixty (60) days to evaluate the Product as provided herein. If the Product does not meet the specifications at the end of the extended testing period, Authorized User, upon prior written notice to Contractor, may then reject the Product and return all defective Product to Contractor, and Contractor shall refund any monies paid by the Authorized User to Contractor therefor. Costs and liabilities associated with a failure of the Product to perform in accordance with the functionality tests or product specifications during the acceptance period shall be borne fully by Contractor to the extent that said costs or liabilities shall not have been caused by negligent or willful acts or omissions of the Authorized User’s agents or employees. Said costs shall be limited to the amounts set forth in the Limitation of Liability Clause for any liability for costs incurred at the direction or recommendation of Contractor.

  • Competing Products The provisions of Section 21 are set forth on attached Exhibit H and are incorporated in this Section 21 by this reference.
