Commission Filing. Prepare and file with the Commission ------------------ a registration statement with respect to such Registrable Shares and to cause such registration statement to become effective, and, upon the request of the Holders of a majority of the Registrable Shares registered thereunder, keep such registration statement effective for up to 180 days or until all of the Shares registered thereunder are sold, whichever occurs sooner.
Commission Filing. The ISO shall file this Agreement with, or electronically report this Agreement to, as applicable, the Commission.
Commission Filing. The Holder acknowledges that Holder has been previously furnished with true and complete copies of the following documents which have been filed with the Commission pursuant to Sections 13(a), 14(a), 14(c) or 15(d) of the Exchange Act, and that such have been furnished to the Holder a reasonable time prior to the date hereof: (i) Annual Report on Form 10-K for the year ended December 31, 1999 (the "Form 10-K"), as may be amended; (ii) the Company's Proxy Statement delivered to shareholders on or about November 13, 2000; and (iii) the information contained in any reports or documents required to be filed by the Company under Sections 13(a), 14(a), 14(c) or 15(d) of the Exchange Act since the distribution of the Form 10-K.
Commission Filing. The Company has prepared and filed with the Securities and Exchange Commission (the "Commission") a registration statement, and amendment or amendments thereto, on Form SB-2, for the registration of the Common Stock under the Securities Act of 1933, as amended (the "Act"), which registration statement and amendment or amendments have been prepared by the Company in conformity with the requirements of the Act, and the rules and regulations of the Commission under the Act.
Commission Filing. If unchanged, a signed version of this form agreement shall not be filed with the Commission. PJM will simply report the existence of a signed agreement in its quarterly reports. If the form agreement is substantively changed, then PJM shall file on behalf of itself and Company as a service schedule under the Tariff within thirty (30) days after execution by all parties the revised form agreement with the Commission. The Parties shall be bound to the terms accepted or ordered by the Commission.
Commission Filing. Prepare and file with the Commission a registration statement (the "Registration Statement") on a form for which the Company then qualifies and which shall be available for the sale of the Registrable Shares in accordance with the intended methods of disposition thereof, and use its reasonable efforts to cause the Registration Statement to be declared effective as promptly as reasonably practicable.

If the form agreement is substantively changed, then SPP shall file the revised form agreement with the Commission. The Parties shall be bound to the terms accepted or ordered by the Commission.
Commission Filing. Lily Pond agrees to prepare a transfer of interest application form, and Xxxxxx agrees to file an amended shareholder's application form and an operator's application form with the Nevada Gaming Authorities no later than thirty (30) days after the date hereof. Each of Harveys, HLVMC, Lily Pond and Xxxxxx agree to cooperate with the Nevada Gaming Authorities' investigation, including the furnishing of all information and/or documents requested by said authorities.

Commission Filing. The Company shall file not later than one (1) business day from the date hereof with the Commission a Current Report on Form 8-K under the Exchange Act describing the transactions contemplated hereby. The Company shall reflect in such Current Report on Form 8-K when so filed with the SEC such comments relating to such Investor as such Investor may reasonably propose. In the event such Form 8-K is not filed by the Company, the Investors shall each have the right to make a public disclosure, in the form of a press release, of the transactions contemplated hereby only upon the review and approval of such public disclosure by the Company, which such approval shall not be unreasonably withheld. The Company shall file all documents relating to the transactions contemplated hereby required to be filed as exhibits to such Form 8-K.
