Execution by All Parties. This Amendment No. 1 shall have been executed and delivered by each of the parties hereto.

The Administrative Agent (or its counsel) shall have received either (i) a counterpart of this Amendment No. 3 signed on behalf of the Borrower and the Administrative Agent, with the consent of the Required Lenders, and the Consent and Agreement to Amendment signed on behalf of the Loan Parties thereto or (ii) written evidence satisfactory to the Administrative Agent (which may include telecopy transmission of a signed signature page of this Amendment No. 3) that such party has signed a counterpart of this Amendment No. 3 and the Consent and Agreement to Amendment.
