Chairman and Vice Chairman. Unless provided otherwise by a resolution adopted by the Directors, the Chairman shall preside at meetings of the Members and the Directors; shall see that all orders and resolutions of the Directors are carried into effect; may maintain records of and certify proceedings of the Directors and Members; and shall perform such other duties as may from time to time be prescribed by the Directors. The Vice Chairman shall, in the absence or disability of the Chairman, perform the duties and exercise the powers of the Chairman and shall perform such other duties as the Directors or the Chairman may from time to time prescribe. The Directors may designate more than one Vice Chairmen, in which case the Vice Chairmen shall be designated by the Directors so as to denote which is most senior in office.
Chairman and Vice Chairman. The Board shall designate one of the Managers to serve as Chairman and a different Manager to serve as Vice Chairman. The Chairman shall preside at all meetings of the Board. If the Chairman is absent at any meeting of the Board, the Vice Chairman shall preside over such Board meeting. If the Chairman and Vice Chairman are absent, the Managers present shall designate a member to serve as interim chairman for that meeting. Neither the Chairman nor Vice Chairman, except in their capacity as an Officer, shall have the authority or power to act for or on behalf of the LLC, to do any act that would be binding on the LLC or to make any expenditure or incur any obligation on behalf of the LLC or authorize any of the foregoing.
Chairman and Vice Chairman. A “Chairman” and “Vice Chairman” may be elected by a majority vote of the members of the Board of Managers. If elected, the Chairman and, in his absence or inability to serve, the Vice Chairman, will preside at all meetings of the Board of Managers and will perform such other duties and have such other powers as the Board of Managers may from time to time prescribe. If a Chairman or Vice Chairman is not elected, a chairman chosen by the members of the Board of Managers at the commencement of a meeting of the Board of Managers will act as chairman of and preside at such meeting.
Chairman and Vice Chairman. The Trustees may appoint a chairman and a vice-chairman, who shall be Trustees of the Trust but need not be shareholders. The chairman shall preside at all meetings of the shareholders and of the Trustees and in the chairman's absence, the vice-chairman shall so preside. The chairman and the vice-chairman shall hold their respective positions at the pleasure of the Trustees. Neither the chairman nor the vice-chairman shall, by reason of holding such position, be or be deemed to be officers of the Trust. [added 9/15/92]
Chairman and Vice Chairman. The Board of Managers shall designate a Manager to serve as chairman. Xxx Xxxxxx shall serve as the initial chairman of the Board of Managers. The Board of Managers may designate a Manager to serve as vice chairman. The chairman shall preside at all meetings of the Board of Managers. If the chairman is absent at any meeting of the Board of Managers, the vice chairman serve as interim chairman for that meeting. The chairman shall have no independent authority or power to act for or on behalf of the Company, to do any act that would be binding on the Company or to make any expenditure or incur any obligations on behalf of the Company or authorize any of the foregoing. The chairman shall not have exclusive power to establish the agenda for any meeting. Any matter proposed for consideration and seconded by at least one Manager other than the proposing Manager shall be deemed properly raised for consideration at any meeting.
Chairman and Vice Chairman. The Company shall have one Chairman of the ----------------------------- Board and one (1) Vice-Chairman. The Chairman of. the Board shall be selected by Party B from amongst the Board members appointed by Party B, and the Vice-Chairman shall be one of the directors selected by Party A from amongst the Board members appointed by Party A.
Chairman and Vice Chairman. 9.5.1 The Chairman and Vice-Chairman of the Joint Committee in any year shall not be from the same Authority.
Chairman and Vice Chairman. 1. The Council shall elect for each year a Chairman and a Vice-Chairman.
Chairman and Vice Chairman of the Board of Supervisors. The Board of Supervisors may elect one of its members as the Chairman or Vice Chairman of the Board of Supervisors, provided, however, such Chairman or Vice Chairman shall not be "Officers" of the Partnership unless otherwise determined by the Board of Supervisors.
