By the Principal Stockholders. From and after the Closing Date, the Principal Stockholders, jointly and severally (provided, however, that no indemnification shall be required to be made by Xxxxxx Xxxxxxxx under this Section 11.1 in excess of his Pro Rata Portion of any Buyer Indemnified Party's Damages), shall indemnify and hold harmless Buyer, CACI and their successors and assigns, and their respective officers, directors, employees, stockholders, agents, Affiliates and any Person who controls any of such Persons within the meaning of the Securities Act or the Exchange Act (each, a "Buyer Indemnified Party") from and against any liabilities, claims, demands, judgments, losses, costs, damages or expenses whatsoever (including reasonable attorneys', consultants' and other professional fees and disbursements of every kind, nature and description incurred by such Buyer Indemnified Party in connection therewith but excluding consequential or incidental damages) (collectively, "Damages") that such Buyer Indemnified Party may sustain, suffer or incur and that result from, arise out of or relate to (a) any breach of any of the respective representations, warranties, covenants or agreements of any Company Parties contained in this Agreement or any other Transaction Document, (b) any Environmental Condition existing on or before the Closing Date, and (c) any Liability of any Company Party involving Taxes due and payable by, or imposed with respect to any Company Party for any and all taxable periods ending on or prior to the Closing Date (whether or not such Taxes have been due and payable).

By the Principal Stockholders. The Principal Stockholders shall, jointly and severally, indemnify, defend and hold harmless Parent, Acquisition Co., the Surviving Corporation and their respective officers, directors, employees, affiliates, agents, successors, subsidiaries and assigns (collectively the "Parent Group") from and against any and all costs, losses (including, without limitation, diminution in value), liabilities, damages, lawsuits, deficiencies, claims and expenses, including without limitation, interest, penalties, costs of mitigation, and other losses resulting from any shutdown or curtailment of operations, attorneys' fees and all amounts paid in investigation, defense or settlement of any of the foregoing (collectively, the "Damages"), incurred in connection with, arising out of, resulting from or incident to any (i) Breach of any covenant, representation, warranty or agreement or the inaccuracy of any representation, made by the Company in or pursuant to this Agreement, or in the other documents delivered in connection with the transactions contemplated in this Agreement; (ii) any claim by any third party that such third party has the right to own or to be issued shares of capital stock in the Company, (iii) any claim for the payment of any bonuses or other compensation by the Company, Acquisition Co. or the Parent in connection with the Closing of the Contemplated Transactions, and (iv) any liability or obligation arising out of the ownership or operation of the assets of HC Travelers, Inc. and/or Xxxxx Xxxx prior to their acquisition by the Company.
By the Principal Stockholders. (i) Subject to Sections 10.2(e), 10.2(f), 10.2(h), 10.2(i) and 10.3, the Principal Stockholders severally, and not jointly, shall protect, defend, indemnify and hold harmless ATS, NSS and their respective Affiliates, and their officers, directors, employees, agents, representatives, successors and assigns (“ATS Indemnitees”) from and against any losses, damages and expenses (including, without limitation, except as provided in Section 10.2(d)(ii), reasonable counsel fees, costs and expenses incurred in investigating and defending against the assertion of such liabilities) that may be sustained, suffered or incurred by ATS Indemnitees and that arose from (A) any breach by the Principal Stockholders or NSS of their respective representations and warranties in this Agreement, (B) any breach by the Principal Stockholders of covenants and obligations in or under this Agreement, or breach by NSS of any pre-Closing covenants and obligations including, but not limited to, the Principal Stockholders’ or NSS’ obligations pursuant to Article 6 (including, but not limited to, the Principal Stockholders’ obligations under Section 6.8 and obligations to make payments to ATS pursuant to Section 6.9(b) and 6.9(c)), (C) Taxes as provided in paragraph (ii) of this Section 10.2(b), to the extent such Taxes have not been deducted in the calculation of the Estimated Closing Merger Consideration pursuant to Section 2.7(a)(iv) (it being the intent of the parties that all of the provisions of this Agreement shall be interpreted to avoid requiring the Principal Stockholders to pay (or receive a reduction in the Final Closing Merger Consideration) twice for the same Tax or other liability); (D) the StockholdersTransaction Costs (if such costs are not requested in writing by the Principal Stockholders to be paid by ATS, in accordance with Section 6.8(a)); and (E) liabilities, if any, in excess of $100,000 arising from the matters set forth on Exhibit P.

  • Additional Stockholders In connection with the issuance of any additional equity securities of the Company to any Person, the Company may permit such Person to become a party to this Agreement and succeed to all of the rights and obligations of a "Stockholder" under this Agreement by obtaining the consent of the holders of a majority of the Common Stockholder Shares and an executed counterpart signature page to this Agreement, and, upon such execution, such Person shall for all purposes be a "Stockholder" party to this Agreement.

  • Stockholder Consent (a) So long as the Board of Directors of the Company shall not have withdrawn, modified or changed its recommendation in accordance with the provisions of Section 7.8(b) hereof, the Company, acting through its Board of Directors, shall, in accordance with Delaware law and its certificate of incorporation and by-laws, take all actions reasonably necessary to establish a record date for, duly call, give notice of, convene, and hold a stockholders meeting for the purpose of obtaining the requisite approval and adoption of this Agreement and the transactions contemplated hereby by the Stockholders. The Company shall notify each Stockholder, whether or not entitled to vote, of the proposed Company stockholders’ meeting. Such meeting notice shall state that the purpose, or one of the purposes, of the meeting is to consider the Merger and shall contain or be accompanied by a copy or summary of this Agreement. Notwithstanding the foregoing, the Board of Directors of the Company shall not be required to take all actions reasonably necessary to establish a record date for, duly call, give notice of, convene and hold a stockholders meeting for the purpose of obtaining the requisite approval and adoption of this Agreement and the transactions contemplated hereby by the Stockholders if the Company’s Board of Directors and the requisite Stockholders otherwise take all actions reasonably necessary to approve this Agreement and the transactions contemplated hereby by written consent in lieu of a meeting of the stockholders of the Company to the extent permitted by applicable law.

  • Stockholder Lock-Ups The Company has caused to be delivered to you prior to the date of this Agreement a letter, in the form of Exhibit A hereto (the “Lock-Up Agreement”), from each individual or entity listed on Schedule IV. The Company will enforce the terms of each Lock-Up Agreement and issue stop-transfer instructions to the transfer agent for the Common Stock with respect to any transaction or contemplated transaction that would constitute a breach of or default under the applicable Lock-Up Agreement.

The Company Stockholders acknowledge that Parent and Merger Sub will be entitled to conclusively rely upon, without independent investigation, any act, notice, instruction or communication of the Stockholder Representative as provided in this Section 10.1 as the acts of the Company Stockholders and will not be liable in any manner whatsoever for any of Parent or Merger Sub’s actions, as applicable, taken or not taken in reliance upon the acts or omissions or communications or writings given or executed by the Stockholder Representative.
