BACK-UP SYSTEM. (a) Within a reasonable period after execution of this Agreement, nFront shall deliver to Reseller, the nHome System on appropriate media, which Reseller shall store in a secure location (the "Back-up System"). During the Term and until the Password Release Date, nFront shall update the Back-up System no less frequently than twice annually. Concurrently with the execution of this Agreement, nFront and Reseller shall enter into a Password Escrow Agreement in respect of the Back-up System in the form attached hereto as Exhibit F. If, pursuant to such agreement the Password (as defined in such agreement) is released to Reseller (the "Password Release Date"), Reseller may use the Password solely to continue to provide services to its Customer Base as in effect as of the Password Release Date for a period ending on the earlier of (i) the date that Reseller secures the services of an alternate provider of Internet home banking services or (ii) three (3) years from the date of such release (the "Password Termination Date"). On the Password Termination Date, Reseller shall deliver to nFront (or its successor-in-interest to the Password and Back-up System) the nHome System and all copies thereof then in Reseller's custody or control. Reseller's obligations under Articles VI and VII of the Agreement shall apply to the Back-up System.
BACK-UP SYSTEM. In the Contingency Plan, the CONCESSIONAIRE shall design and maintain an alternative emergency mechanism in case the service cannot be provided on a regular basis. This mechanism shall be capable of providing the same amount of daily rations for the duration of the grounds that originated its activation or for a period of up to ten (10) Calendar Days. The CONCESSIONAIRE shall ensure that the students who by instructions of the GRANTOR require rations or snacks, but do not attend the services, have their meals. All food shall be served on a hot line - self-service basis in the XXXX dining room. The CONCESSIONAIRE shall provide the rations and snacks in appropriate packaging when academic and comprehensive training outings are scheduled for the students. Additionally, the CONCESSIONAIRE shall submit to the GRANTOR the proposals of rations to be served during the academic outings, as part of the monthly menu programming to be submitted, which shall be verified and approved by the GRANTOR. The CONCESSIONAIRE shall have a registration space for students, and shall implement a system for the control of the students served. The CONCESSIONAIRE shall make available to the GRANTOR and Supervisor, the list of students attended each day.
BACK-UP SYSTEM. Company will at all times maintain, or cause to be maintained an appropriate emergency back-up system consistent with the requirements of FINRA. At a minimum, such emergency back-up system will insure that books and records concerning Custodial Deposit Accounts and Customer’s funds deposited therein will be retrievable within a reasonable time in the event of computer failure or malfunction.
BACK-UP SYSTEM. Promontory Network will at all times maintain, or cause to be maintained, an adequate emergency back-up system as set forth in the SLA.

  • PFPC System PFPC shall retain title to and ownership of any and all data bases, computer programs, screen formats, report formats, interactive design techniques, derivative works, inventions, discoveries, patentable or copyrightable matters, concepts, expertise, patents, copyrights, trade secrets, and other related legal rights utilized by PFPC in connection with the services provided by PFPC to the Fund.

  • DTC DIRECT REGISTRATION SYSTEM AND PROFILE MODIFICATION SYSTEM (a) Notwithstanding the provisions of Section 2.4 of the Deposit Agreement, the parties acknowledge that DTC’s Direct Registration System (“DRS”) and Profile Modification System (“Profile”) apply to the American Depositary Shares upon acceptance thereof to DRS by DTC. DRS is the system administered by DTC that facilitates interchange between registered holding of uncertificated securities and holding of security entitlements in those securities through DTC and a DTC participant. Profile is a required feature of DRS that allows a DTC participant, claiming to act on behalf of an Owner of American Depositary Shares, to direct the Depositary to register a transfer of those American Depositary Shares to DTC or its nominee and to deliver those American Depositary Shares to the DTC account of that DTC participant without receipt by the Depositary of prior authorization from the Owner to register that transfer.

  • Sprinkler System If there now is or shall be installed in the Building a "sprinkler system", and such system or any of its appliances shall be damaged or injured or not in proper working order by reason of any act or omission of Tenant, Tenant's agents, servants, employees, licensees or visitors, Tenant shall forthwith restore the same to good working condition at its own expense; and if the New York Board of Fire Underwriters or the New York Fire Insurance Rating Organization or any bureau, department or official of the state or city government, shall require or recommend that any changes, modifications, alterations or additional sprinkler heads or other equipment be made or supplied by reason of Tenant's business, or the location of the partitions, trade fixtures, or other contents of the Premises, Tenant shall, at Tenant's expense, promptly make and supply such changes, modifications, alterations, additional sprinkler heads or other equipment.

  • Hardware and Software Requirements In order to access and retain Disclosures electronically, you must satisfy the following computer hardware and software requirements: access to the Internet; an email account and related software capable of receiving email through the Internet; a web browser which is SSL-compliant and supports secure sessions, and hardware capable of running this software.

  • Monitoring System In each case in which the Custodian has exercised delegated authority to place Assets with a Foreign Custodian, the Custodian shall establish a system, to re-assess or re-evaluate selected Foreign Custodians, at least annually in accordance with Rule 17f-5(c)(3).

  • Network Access Control The VISION Web Site and the Distribution Support Services Web Site (the “DST Web Sites”) are protected through multiple levels of network controls. The first defense is a border router which exists at the boundary between the DST Web Sites and the Internet Service Provider. The border router provides basic protections including anti-spoofing controls. Next is a highly available pair of stateful firewalls that allow only HTTPS traffic destined to the DST Web Sites. The third network control is a highly available pair of load balancers that terminate the HTTPS connections and then forward the traffic on to one of several available web servers. In addition, a second highly available pair of stateful firewalls enforce network controls between the web servers and any back-end application servers. No Internet traffic is allowed directly to the back-end application servers. The DST Web Sites equipment is located and administered at DST’s Winchester data center. Changes to the systems residing on this computer are submitted through the DST change control process. All services and functions within the DST Web Sites are deactivated with the exception of services and functions which support the transfer of files. All ports on the DST Web Sites are disabled, except those ports required to transfer files. All “listeners,” other than listeners required for inbound connections from the load balancers, are deactivated. Directory structures are “hidden” from the user. Services which provide directory information are also deactivated.

  • HVAC A. Heating, ventilating and air conditioning equipment will be provided with sufficient capacity to accommodate a maximum population density of one (1) person per one hundred fifty (150) square feet of useable floor area served, and a combined lighting and standard electrical load of 3.0 xxxxx per square foot of useable floor area. In the event Tenant introduces into the Premises personnel or equipment which overloads the system’s ability to adequately perform its proper functions, Landlord shall so notify Tenant in writing and supplementary system(s) may be required and installed by Landlord at Tenant’s expense, if within fifteen (15) days Tenant has not modified its use so as not to cause such overload. Operating criteria of the basic system shall not be less than the following:

  • Rooftop Equipment Provided that Tenant complies with the terms of ----------------- this Section, Tenant may, at its risk and expense, install a satellite dish and related communications equipment and wiring (collectively, the "Rooftop ------- Equipment") on the roof of the Building at a location approved by Landlord, --------- which equipment may be used solely by Tenant and its Permitted Transferees or Permitted Sublessees. Before installing the Rooftop Equipment, Tenant shall submit to Landlord for its approval (which approval shall be in Landlord's sole discretion) plans and specifications which (a) specify in detail the design, location, size, and, in the case of a satellite dish, frequency of the Rooftop Equipment and (b) are sufficiently detailed to allow for the installation of the Rooftop Equipment in a good and workmanlike manner and in accordance with all Laws (the "Legal Requirements"). If Landlord approves of such plans, Tenant ------------------ shall install (in a good and workmanlike manner), maintain and use the Rooftop Equipment in accordance with all Legal Requirements and shall obtain all consents and permits required for the installation and operation thereof; copies of all such permits and evidence of such consents must be submitted to Landlord before Tenant begins to install the Rooftop Equipment. Tenant shall thereafter maintain all permits necessary for the maintenance and operation of the Rooftop Equipment while it is on the Building and operate and maintain the Rooftop Equipment in such a manner so as not to unreasonably interfere with any other satellite, antennae, or other transmission facility on the Building's roof or in the Building. Landlord may require that Tenant screen the Rooftop Equipment with a parapet or other screening device acceptable to Landlord. Tenant shall maintain the Rooftop Equipment and screening device in good repair and condition. Tenant shall, at its risk and expense, remove the Rooftop Equipment (including all wiring related thereto), within five days after the occurrence of any of the following events: (1) the termination of Tenant's right to possess the Premises; (2) the termination of the Lease; (3) the expiration of the Term; or (4)
