After the Unit. Two Testing Date, if an outage occurs with respect of both units of the Facility, Seller shall immediately notify Purchaser. Upon Purchaser's request, Seller shall apply to HEPC to provide power to Purchaser pursuant to agreement already reached between Purchaser and HEPC. In the event that HEPC agrees to provide power to Purchaser, Seller shall, pursuant to arrangements to be made between the parties hereto, transmit to Purchaser power purchased by Purchaser from HEPC by using Seller's connecting lines with the Grid. In the event that HEPC refuses to provide power to Purchaser, Seller shall not have any liability.

After the Unit has been prepared for the Tenant, the Landlord shall notify the Tenant in writing of the possibility of the taking over of the Unit on Commencement Date. Upon receipt of such notification, the Tenant shall be under a duty to inspect the Unit and provide the Landlord with a comprehensive and binding list of any defects of the Unit within 15 days of such inspection. If the Tenant does not inspect the Unit within 15 days of the receipt of the notice or does not provide the Landlord with a list of defects within 15 days of the inspection, it shall be regarded as a confirmation that the Unit has been prepared in accordance with the Lease and the Tenant shall not be entitled to refuse the signing of the handover protocol on the Commencement Date. Any defects identified by the Tenant during the inspection described above shall be divided in two categories: major defects (understood as defects which prevent the Tenant from using the Unit for the purposes described in this Lease) and punch list items (understood as any other defects). The Tenant shall only be entitled to refuse signing the handover protocol in case there are major defects of the Unit which prevent the Tenant from using it in accordance with this Lease. In respect of the punch list items the Parties shall agree upon a reasonable time frame during which these items shall be remedied by the Landlord. If the Parties disagree as to whether a defect constitutes a major defect or a punch list item the expert understood as one of the following companies: XX Xxxxxx, Gleeds, Euromost, Tebodin to be selected by the Parties, will issue a binding opinion within five business days from the date of its appointment. Such opinion will be final and binding on both Parties, and the costs of it shall be borne by the Party which the expert declares to be incorrect in its claims regarding the classification of a defect. Both Parties undertake to act with good faith and due diligence with respect to the procedure of handing over the Unit to the Tenant. The parties shall sign a handover protocol, in the form substantially as attached hereto in Schedule 9, upon the taking over of the Warehouse and Office Premises which shall include a confirmation by the Tenant that he has inspected the Unit and confirming that it meets all specification included in the Lease. If any party hereto receives monies belonging to the other, such amount shall immediately be paid over to the proper party. This Section 10.12(b) shall not prevent disclosure by a Party: (i) pursuant to Section 10.12(c) or Section 10.13; (ii) of information that, at the time of disclosure, is generally available to the public (other than as a result of a breach of this Agreement (including Section 10.13) or any other confidentiality agreement to which such Party is a party or of which it has Knowledge), as evidenced by generally available documents or publications; (iii) to the extent disclosure is necessary or advisable, to its Affiliates or to such Party’s or any such Affiliate’s Entity Representatives for the purpose of performing their respective obligations under this Agreement; (iv) to banks or other financial institutions or agencies or any independent accountants or legal counsel or investment advisors employed by such Party or its Affiliates, to the extent disclosure is necessary or advisable to obtain financing; (v) by Purchaser to one or more potential purchasers of any of the Acquired Assets; (vi) to Governmental Authorities to the extent necessary to comply with its obligations under this Agreement and Law with respect to the HSR Act; (vii) as required by applicable securities or other Laws or the applicable rules of any stock exchange having jurisdiction over the disclosing Party or its Affiliates; (viii) to third Persons holding preferential rights to purchase or rights of consent or rights to receive notice that may be applicable to the transactions contemplated by this Agreement, as reasonably necessary to obtain waivers of such right or such consents or to provide such notice; or (ix) to the extent necessary to comply with its obligations under this Agreement or any of the Transaction Documents or to enforce this Agreement; provided, however, that in each case of disclosure under clauses (iii), (iv), or (v), the Persons to whom disclosure is made are provided with a copy of this confidentiality provision, and the Party making such disclosure shall be liable and responsible for any breach by such Person of this confidentiality obligation.

For a period of three (3) years after the Closing, Seller agrees that, prior to the destruction or disposition of any such books or records, Seller shall provide not less than forty-five (45) days', nor more than ninety (90) days' prior written notice to Buyer of such proposed destruction or disposal. If Buyer desires to obtain any such documents, it may do so by notifying Seller in writing at any time prior to the date scheduled for such destruction or disposal. In such event, Seller shall not destroy such documents and the parties shall then promptly arrange for the delivery of such documents to Buyer, its successors or assigns. All out-of-pocket costs associated with the delivery of the requested documents shall be paid by Buyer.
