Xxxxxxxxx Pay. The Company shall pay you severance pay (“Severance Pay”) by continuing your base salary (at the annual rate of $455,400.24 per year) effective for the nine (9) month period immediately following the Resignation Date (the “Severance Pay Period”). The Company shall pay you Severance Pay in installments on its regular payroll dates during the Severance Pay Period; provided that the Company shall not be obligated to pay any Severance Pay before the Certificate Effective Date (as defined in Exhibit A). If the Company does not make one or more payments of Severance Pay on a regular payroll date because the Certificate has not yet become effective, the Company shall make all such delayed payments by the first payroll date when it is practicable to do so after the Certificate Effective Date.

Xxxxxxxxx Pay. As a severance benefit and as consideration for Xxxxxxx entering into this Agreement, Xxxxxxx shall receive severance pay totaling One Hundred Sixty-Four Thousand One Hundred Twenty Dollars and 84/100ths ($164,120.84) to be paid in fifty-two (52) equal installments of Three Thousand One Hundred Fifty Six Dollars and 17/100ths ($3,156.17) which will be paid by direct deposit in accordance with the Bank’s usual and customary payroll practices starting on January 12, 2007, with the final payment being made on December 26, 2008. The severance pay shall be reduced by applicable state and federal income and employment taxes which the Bank is required to withhold.

Xxxxxxxxx Pay as used herein, shall mean the actual or constructive compensation, including wages and benefits as defined by Florida Statutes §215.425(4). If this Agreement is terminated “without cause” during the term of the Agreement, as described in this provision, the DISTRICT shall pay XXXXXXXX a single lump sum cash payment of twelve (12) weeks of XXXXXXXX’X set hourly wages per pay period in effect at the time of the termination of this Agreement (calculated as 12 weeks x 2 shifts/week x 24 hours/shift x $25/hour or $14,400). XXXXXXXX shall not be eligible for Severance Pay if XXXXXXXX is “terminated for cause” as contemplated in I.C.1., above, at any time during this Agreement.
