Wisconsin Materials definition

Wisconsin Materials means the H1, H7, H9, H13 and H14 embryonic stem cell lines provided to Licensee by XXXX, Xxxxx or a third party authorized by XXXX, including any progeny, unmodified derivatives, genetically modified embryonic stem cells or clones of those cells or cell lines. Upon request of Licensee, XXXX or WiCell shall provide Licensee within thirty (30) days of such request, without additional charge, two aliquots each of the following embryonic stem cell lines: X0, X0, X0, X00 and H14.
Wisconsin Materials is defined in the attached Wisconsin Materials Addendum. Wisconsin Materials means any and all embryonic stem cells and cell lines provided to Licensee by XXXX or a third party authorized by XXXX, including any progeny, unmodified derivatives, genetically modified embryonic stem cells or clones of those cells or cell lines. Within thirty (30) days of the Effective Date of the Patent Rights Agreement, XXXX shall provide Licensee, without additional charge, two aliquots each of the following embryonic stem cell lines: HI, H9, H7, HI3b and H14. In addition, Licensee shall be entitled to enroll two of its employees in the three-day Human Embryonic Stem Cell Culture Methods Course offered by the WiCell Research Institute, free of charge.

Examples of Wisconsin Materials in a sentence

  • Ownership of all Wisconsin Materials, including any progeny or modified versions thereof, shall remain with WiCell, regardless of whether such Wisconsin Materials are received from WiCell or an authorized third party.

  • Institution assumes all liability for any claim for damages which may arise from the use, storage, handling or disposal of Wisconsin Materials by its Recipients, except to the extent caused by the gross negligence or willful misconduct of WiCell.

  • Institution agrees that each Recipient shall submit to WiCell an annual Certification Statement confirming compliance with the restrictions hereunder on the use of the Wisconsin Materials.

  • The research license under the MOU also limits the use of Wisconsin Patent Rights and Wisconsin Materials to non-commercial research and teaching activities.

  • WiCell shall cause the requested Wisconsin Materials to be shipped to the Recipient upon receipt of both an executed Simple Letter Agreement requesting such Wisconsin Materials and the transmittal fee, if any, requested by WiCell pursuant to paragraph 3 below.

  • IP Materials has the meaning given to it in clause E8.1 (Intellectual Property Rights).

  • Proprietary Materials means tangible chemical, biological or physical materials (a) that are furnished by or on behalf of one Party to the other Party in connection with this Agreement, whether or not specifically designated as proprietary by the transferring Party or (b) that are otherwise conceived or reduced to practice in the conduct of the Research Collaboration.

  • Supplier Materials has the meaning set out in clause 8.1(g);

  • Shareholder Materials means the Fund’s prospectus, statement of additional information and any other materials relating to the Fund provided to Fund shareholders by the Fund.

Examples of technical information include research and engineering data, engineering drawings, and associated lists, specifications, standards, process sheets, manuals, technical reports, technical orders, catalog-item identifications, data sets, studies and analyses and related information, and computer software executable code and source code.

  • Manufacturing Materials means parts, tools, dies, jigs, fixtures, plans, drawings, and information produced or acquired, or rights acquired, specifically to fulfill obligations set forth herein.

  • Materials means things of all kinds (other than Plant) to be supplied and incorporated in the Works by the Contractor.
