Company Materials definition

Company Materials has the meaning specified in Section 6.02.

Company Materials has the meaning assigned to such term in Section 5.01.

Company Materials means documents or other media or tangible items that contain or embody Confidential Information or any other information concerning the business, operations or future/strategic plans of the Company and/or any Subsidiary, whether such documents have been prepared by the Participant or by others.

Examples of Company Materials in a sentence

• In the event Services require Company to furnish or supply University with parts, goods, data, specifications, components, programs, practices, methods, export materials (if approved by the University pursuant to Agreement), or other property such materials will be identified in SCHEDULE A and provided by Company to University in a timely and secure manner so as to allow University to meet its commitments under Agreement ("Company Materials").

• Unless otherwise agreed in writing by the Parties, University will not use any Company Materials except to fulfill the Services.

• If Company postpones or delays delivery of Company Materials by University to Company for any reason (for example, if Company requests a delay in delivery), Company agrees to reimburse University for any and all storage costs and other additional expenses resulting therefrom.

• Provision of Company Materials to University has no impact on Company’s ownership of Company Materials.

• Company warrants that Company Materials will: (1) conform to the requirements of this Agreement, including all descriptions, specifications, and attachments made a part hereof; and (2) will not infringe any third party rights.

More Definitions of Company Materials

Company Materials means all forms of written or recorded information, data, or materials, including, but not limited to, documents, files, memoranda, notes, lists, as well as photographs, drawings, blueprints, and schematics (and all copies thereof) relating to the Company’s business, customers, suppliers, products or services, whether in tangible or electronic form (including items stored in computer memories, computer disks, thumb drives, CDs, or any other electronic means), whether made or compiled by Participant or others.

Company Materials means the materials and/or information provided by or on behalf of the Company hereunder.

Company Materials means all chemical, biological or physical materials that are Controlled by Company or any of its Affiliates, as of the Effective Date or at any time thereafter during the Term, and that are necessary or useful in the research, Development, Manufacture, use or Commercialization of the Collaboration Compound or Product.

Company Materials. As defined in Section 6.2.

Company Materials means all Materials that Executive makes or conceives, or has made or conceived, solely or jointly, during the period of Executive’s retention by or employment with the Company, whether or not patentable or registerable under copyright, trademark or similar statutes, which (i) are related to the current or demonstrably (by expenditure of material resources or material time spent by senior management) anticipated business or activities of the Company (which includes any fund managed by the Company during or prior to the period of Executive’s retention by or employment with the Company); and (ii) are otherwise developed by Executive through the use of the Company’s confidential information, equipment, software, or other facilities or resources at a time during which Executive has been a consultant, or employee (temporary or otherwise) of the Company. Notwithstanding the foregoing, Company Materials shall not include any Materials conceived or made, solely or jointly, by Executive in connection with the performance of Permitted Activities.

Company Materials means all models, samples, products, prototypes, computers, computer software, computer disks, tapes, printouts, source, HTML and other code, flowcharts, schematics, designs, graphics, drawings, photographs, charts, graphs, notebooks, customer lists, sound recordings, other tangible or intangible manifestation of content, and all other documents concerning the Company, any affiliate of the Company, or any predecessor of the Company or any affiliate of the Company, whether printed, typewritten, handwritten, electronic, or stored on computer disks, tapes, hard drives, or any other tangible medium.

Company Materials means all materials which are supplied by the Company to the Contractor to use in the performance of the Work or incorporate in the Work, and which are specified in the Contract as “Company Materials”.
