Union Indemnification. In consideration of full and active participation by the member organizations of the Coalition in the WPS program, and in recognition of the potential liability which might result solely from that participation, Kaiser Foundation Hospitals and Kaiser Foundation Health Plan, Inc. agree that they, or one of the subsidiary health plan organizations of Xxxxxx Foundation Health Plan, Inc., will indemnify Coalition unions and their officers and employees, and hold them harmless against any and all suits, claims, demands and liabilities arising from or relating to their participation in WPS with Xxxxxx Permanente.
Union Indemnification. The Union hereby indemnifies and defends the Employer and holds it harmless against any and all suits, claims, demands and liabilities that may arise out of, or by reason of, any action that shall be taken by the Employer for the purpose of complying with the foregoing provisions of this Section, or in reliance on any list or certificate which shall have been furnished to the Employer under any of such provisions.
Union Indemnification. The Union shall indemnify, defend, and save the City harmless against any and all claims, demands, suits or other forms of liability and for all legal costs that shall rise out of or by reason of action taken or not taken by the City in properly complying with the provisions of this Article. The Union agrees to refund to the City any amount paid to the Union in error on account of this dues and assessment deduction provision within ten (10) days.
Union Indemnification. The Union shall indemnify, defend and hold harmless the City and its officials, representatives and agents against any and all claims, demands, suits or other forms of liability (monetary and otherwise) and for all reasonable legal costs that shall arise out of or by reason of actions taken or not taken by the City in complying with the provisions of this Article. If an improper deduction is made, the Union shall refund directly to the employee and such amount (not to exceed two months’ dues.)
Union Indemnification. The Union shall indemnify, defend, and save the Village harmless against any and all claims, demands, suits or other forms of liability (monetary or otherwise) and for all legal costs that shall arise out of or by reason of action taken or not taken by the Village in complying with the provisions of this Article, provided that the Village does not prosecute or initiate such action. If an improper deduction is made, the Union shall refund directly to the Employee any such amount.
Union Indemnification. It is expressly understood and agreed that the Employer shall have no recourse of any kind against the Union in respect to training or the issuance of a certificate of training to any Employee. The Union does not warrant the qualifications of any Employee, nor the dispatch or placement for employment of any Employee.
Union Indemnification. The Union shall indemnify, defend, and hold the Employer harmless against any claim, demand, suit or liability arising from any action taken by the Employer in complying with this Article. If an incorrect deduction is made, the Union shall refund any such amount directly to the involved employee.
Union Indemnification. The Union shall indemnify, defend and hold the City harmless against any and all claims, demands, suits, costs, expenses or other forms of liability, including reasonable attorney's fees and costs, arising from or incurred as a result of any action taken or not taken by the City, its officers, agents, employees or representatives, including but not limited to claims arising under the United States Constitution or under any federal statute, in complying with or carrying out the provisions of this Article; in reliance on any notice, letter or authorization forwarded to the City by the Union pursuant to this Article; and including but not limited to any charge that the City failed to discharge any duty owed to its employees arising out of the involuntary Fair Share fee payroll deduction. The City shall immediately inform the Union of any appeals or legal actions regarding this Article.
Union Indemnification. The Metropolitan Alliance of Police shall indemnify and hold harmless the Employer, its elected representatives, officers, administrators, agents and officers from and against any and all claims, demands, actions, complaints, suits or other forms of liability (monetary or otherwise) that may arise out of or by reason of any action taken or not taken by the Employer for the purpose of complying with the provisions of this Article, or in reliance on any written check-off authorization furnished under any of such provisions, provided that the Employer does not initiate or prosecute such action.
Union Indemnification. The Union shall indemnify, defend and save the Employer and the County harm- less against any and all claims, demands, suits or other forms of liability (monetary or otherwise) and for all legal costs that shall arise out of or by reason of action taken or not taken by the Employer and the County in complying with the provisions of this Ar- ticle. If an improper deduction is made, the Union shall refund directly to the employee any such amount.
