Common use of Union Indemnification Clause in Contracts

Union Indemnification. The Union shall indemnify, defend and hold the City harmless against any and all claims, demands, suits, costs, expenses or other forms of liability, including reasonable attorney's fees and costs, arising from or incurred as a result of any action taken or not taken by the City, its officers, agents, employees or representatives, including but not limited to claims arising under the United States Constitution or under any federal statute, in complying with or carrying out the provisions of this Article; in reliance on any notice, letter or authorization forwarded to the City by the Union pursuant to this Article; and including but not limited to any charge that the City failed to discharge any duty owed to its employees arising out of the involuntary Fair Share fee payroll deduction. The City shall immediately inform the Union of any appeals or legal actions regarding this Article.
