Underlying Company definition

Underlying Company means the issuer of the relevant Security as specified above, in each case subject to adjustment in accordance with Condition 13 (Adjustments).
Underlying Company means the issuer of the Security as specified in the relevant Pricing Supplement and, if the Notes are DR Linked Notes, each of the Depositary and the issuer of the relevant Underlying Security, in each case subject to adjustment in accordance with Condition 20(g);
Underlying Company means the issuer of the Security as specified in the relevant Final Terms (or, if the Warrants are DR Linked Warrants, each of the Depositary and the issuer of the relevant Underlying Security), subject to adjustment in accordance with this Condition 17.

  • In such event, such Affiliated Investment Company shall so notify the Underlying Company in writing, and if the Underlying Company agrees in writing, such Affiliated Investment Company shall hereunder become a Fidelity Trust or Acquiring Fund, as the case may be, and Schedule A shall be amended accordingly.

  • No Acquiring Fund shall use the name or any tradename, trademark, trade device, service mark, symbol or any abbreviation, contraction or simulation thereof of the Underlying Company, an Acquired Fund, or any of their affiliates in its advertising, sales literature and similar communications, other than for the purpose of discussing and/or identifying an Acquiring Fund's investment in an Acquired Fund, unless it first receives prior written approval of the relevant Underlying Company or Acquired Fund.

  • New Underlying Company, on behalf of itself and the New Acquired Fund, desires to become a party to the Agreement pursuant to the terms and conditions contained therein.

  • Neither the execution and delivery of this Agreement nor the consummation of the transactions contemplated hereby will violate or conflict with, or constitute a default under, or cause the acceleration of the maturity of any debt obligation pursuant to, any material agreement or commitment to which the Buyer is a party or by which the Buyer is bound.


More Definitions of Underlying Company

Underlying Company means the issuer of the Security as specified in the applicable Final Terms, subject to adjustment from time to time in accordance with the provisions as set out in this Condition 10(a)(A)(aa).
Underlying Company means, for the purpose of this paragraph 10(a)(A)(bb) and in respect of a relevant Share, the issuer of such Share to which the relevant ADR Security relate(s), as defined in paragraph 35(ii) of the Final Terms.
