Pricing Date. (a) On the date that the Company and each of the underwriters party thereto enter into the Underwriting Agreement (the “Pricing Date”), subject to Section 2.3(c), the respective parties to each of the Transaction Documents listed below shall simultaneously duly execute and deliver:
(i) the Exchangeable Issuer Purchase Agreement; and
(ii) the Mandatory Exchangeable Placement Purchase Agreement.
