During the Transition Assistance Period, the Operator shall continue to undertake the Bus Service.
As used throughout this Agreement, all references to the “Term” shall be construed to include the Initial Term, all Renewal Periods, and any Transition Assistance Period.
The Operator shall only be provided the limited right of way and right to use as a licensee under the Depot License Agreement in respect of the Bus Depot and upon the end of the Transition Assistance Period, the Depot License Agreement shall also terminate or expire, whereupon the Operator shall vacate and hand back to the Authority such Bus Depot along with any permanent structure(s) created by it to fulfil its obligations as per the terms of this Contract.
All the terms and conditions of this Agreement will remain unchanged during the Transition Assistance Period (including but not limited to rates and charges, discounts, credits, waivers, service levels and key personnel).
For the avoidance of doubt, Bank shall provide the Transition Assistance Services in accordance with this paragraph without regard to the reason for the termination of this Agreement and the Term of this Agreement shall not be deemed to have expired or terminated until the Transition Assistance Services have been completed; provided, that, Company shall not be subject to any minimum fees or similar financial obligations during any Transition Assistance Period.
