All Series A Notes shall have identical terms and all Series B Notes shall have identical terms.
The Stated Maturity of the Series A Notes is June 1, 2056 (the “Series A Maturity Date”).
Series A Notes in the initial aggregate principal amount of up to $450,000,000 and Series B Notes in the initial aggregate principal amount of up to $450,000,000 may be executed by the Company and delivered to the Trustee for authentication by it, and the Trustee shall thereupon authenticate and deliver said Notes to or upon the written order of the Company, signed by any Officer of the Company, without any further corporate action by the Company.
The Company shall make one or more global certificates (collectively, the “Global Securities”) representing each of the Series A Notes and the Series B Notes available for inspection by the Representatives not later than 1:00 p.m., New York City time, on the business day prior to the Closing Date and, on or prior to the Closing Date, the Company shall deliver the Global Securities to DTC or to the Trustee, acting as custodian for DTC, as applicable, in accordance with the Indenture.
The Series A Notes and the Series B Notes, including the Trustee’s Certificate of Authentication to be endorsed thereon, are to be substantially in the form attached hereto as Exhibit A.
